General Counsel

• Review, draft, and negotiate a wide range of commercial agreements, including software licensing agreements, SaaS agreements, vendor contracts, and partnership agreements. • Provide legal guidance and support to various departments, including Sales, Marketing, Product Development, and Operations, to promote compliance with applicable laws and regulations. • Assist in the development and implementation of corporate policies and procedures to mitigate legal risks and ensure compliance with industry standards and best practices. • Conduct legal research and stay updated on relevant laws, regulations, and industry trends to advise the company on legal and regulatory matters affecting its business operations. • Collaborate with external legal counsel on specialized legal matters, litigation, and other legal matters as needed. • Assist in corporate governance matters, including entity formation, corporate restructuring, and maintenance of corporate records. • Support the General Counsel and senior leadership team on special projects and initiatives as required.

Job Requirements

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
  • 2-4 years of experience practicing law, preferably both in a corporate legal department and also in a law firm environment.
  • Strong knowledge of contract law, commercial transactions, and intellectual property law.
  • Excellent drafting, negotiation, and communication skills with meticulous attention to detail.
  • Ability to work independently and collaboratively in a fast-paced, dynamic environment.
  • Strong analytical and problem-solving skills with the ability to think strategically and provide practical legal advice.
  • Experience in the technology industry or with SaaS products is preferred but not required.
  • High level of integrity, professionalism, and ethical conduct.

Role Description Ilant Health is seeking an experienced Associate General Counsel to support our growing legal and compliance needs as we scale partnerships with self-funded employers, Taft-Hartley plans, and fully-insured health plans (commercial and government). This role will serve as a key business partner across contracting, privacy, and corporate matters, with a strong focus on healthcare commercial agreements, HIPAA compliance, and external counsel oversight. The Associate General Counsel will be our first legal hire and report to the CEO. They will work closely with leadership across Finance, Sales, Operations, and Clinical. Key Responsibilities: - Healthcare Contracting & Commercial Transactions - Lead drafting, review, and negotiation of a wide range of healthcare agreements, including: - Business Associate Agreements (BAAs) - Contracts with self-funded ERISA employers - Agreements with fully-insured health plans and payers - Vendor, pharmacy, lab, and clinical services agreements - Support contract structures for value-based and risk-aligned arrangements. - Partner with Sales and Implementation teams to ensure contract execution aligns with operational delivery. - Privacy & Regulatory Support - Advise on HIPAA compliance and healthcare privacy obligations, including PHI data flows, and product and subcontractor requirements. - Collaborate with compliance and clinical leadership on evolving federal and state healthcare regulatory matters impacting virtual care delivery. - Corporate, Employment, and General Legal Oversight - Manage and coordinate outside counsel across corporate governance, financings, employment matters, and other specialized legal needs. - Support employment-related legal review including offer letters, policies, contractor relationships, and HR escalations. - Assist with board materials, corporate records, and strategic legal initiatives as the company grows. - Cross-Functional Business Partnership - Provide practical, business-oriented legal advice to internal stakeholders. - Help establish scalable legal processes, contract templates, playbooks, and negotiation frameworks. Qualifications - JD from an accredited law school and active license to practice in at least one U.S. jurisdiction. - 5–10+ years of relevant legal experience in a law firm and/or high-growth healthcare company. - Significant experience negotiating: - BAAs and HIPAA-related agreements - Employer (ERISA) and payer contracting arrangements - Healthcare services and vendor agreements - Strong working knowledge of healthcare regulatory frameworks, including HIPAA privacy and security. Requirements - Experience supporting provider organizations contracting directly with health plans and self-funded employers. - Understanding of different insurance segments (Commercial/ERISA, Medicare, Medicaid). - Familiarity with telehealth or value-based care models. - Prior experience managing outside counsel efficiently in a resource-constrained, scaling environment.
