• Partner with PubSec Sales and Finance on government-related pursuits, contract negotiations, execution, and long-term compliance • Review, draft, negotiate, and support a variety of government contracts and bid documents, including RFPs and RFIs, teaming agreements, statements of work (SOWs), amendments, task orders, teaming agreements, collaboration agreements, distribution, reseller agreements, and subcontracts. • Advise on FAR, DFARS, and related agency regulations, including clause applicability, flow-down requirements, and U.S. federal government data rights provisions, including IP and technical data rights in software developed under government funding • Provide guidance on compliance topics including cost accounting, audits, data rights, cybersecurity obligations, sam.gov administration, and procurement integrity • Develop and oversee compliance efforts and programs, including scalable processes, templates, and training related to government contracting compliance • Collaborate with internal stakeholders to ensure systems are in accordance with all legal, regulatory, and contractual requirements as the business grows • Support state and local (SLED) and international public sector deals as a secondary focus

Role Description As Senior Corporate Counsel, you will serve as a trusted legal advisor to Safety National's business and executive leadership, helping guide strategic business initiatives while managing complex legal matters across the organization. In this role, you will primarily provide legal guidance related to assumed and ceded reinsurance contracts, coverages, and legal issues by leveraging demonstrated ability for sound business judgment while supporting a growing reinsurance organization. Your day-to-day responsibilities will include: - Reviewing all contracts for new and renewal reinsurance transactions, including multiple iterations from initial draft to firm order terms/final contract, and ensuring consistency across clauses and contracts. - Advising underwriters, claims professionals and other decision makers on material terms of each reinsurance agreement, including coverage, data and other material provisions. - Reviewing all non-disclosure agreements (NDAs), addenda and endorsements for reinsurance and loss portfolio transfer (LPT) business. - Identifying confidentiality and privacy requirements, including GDPR, CCPA and other privacy-related laws and provisions, across all reinsurance agreements. - Serving as legal resource to the LPT Department, and providing legal review of LPT transactional documents, as necessary. Your ability to balance legal risk with business objectives, build collaborative relationships, and communicate practical solutions will help drive the company's continued success. Qualifications - Juris Doctor (J.D.) degree from an accredited law school is required. - Current license to practice law in at least one U.S. state is required. - Ability to obtain Missouri Limited Admission as In-House Counsel, if applicable, is required. Requirements - 10 or more years of casualty and/or professional lines reinsurance contractual experience. - Demonstrated understanding of the reinsurance insurance industry and reinsurance operations. - Strong analytical, negotiation, communication, and problem-solving skills with the ability to translate legal advice into practical business guidance. - Demonstrated ability to manage multiple priorities and complex projects while producing high-quality work independently. - Confidence partnering with executive leadership and external business partners. - Proficiency with Microsoft Office applications. - Ability to travel as needed. - Must be presently authorized to work in the U.S. without a requirement for work authorization sponsorship by our company for this position now or in the future. - Qualified candidates residing outside the St. Louis metropolitan area are eligible to work remotely or in one of our regional offices. - For candidates who reside in the St. Louis metropolitan area, if hired you will be required to work a hybrid work schedule which includes a minimum of 3 days per week in our St. Louis Corporate Office, located at 1832 Schuetz Rd, Saint Louis, MO. • Practice in labor law across all stages of litigation; • Drafting defenses, appeals and other procedural pleadings inherent to legal practice (such as: Recurso Ordinário [Ordinary Appeal], Recurso de Revista [Appeal to the Superior Labor Court], objections to calculations, Embargos à Execução [Objections to Enforcement], Agravo de Petição [Interlocutory Appeal], Mandado de Segurança [Writ of Mandamus], among others); • Monitoring case progress and entering information into internal/client systems; • Reviewing hearing schedules, conducting hearing preparation meetings, requesting documents and supporting materials, requesting payments, and managing deadlines; • Attending hearings and delivering oral arguments; • Ability to develop litigation strategies and analyze information and documents for case management; • Critical ability to read judgments and rulings and prepare appeals; • Mediation skills.

• Handle labor litigation in all stages (trial, appeals, and enforcement); • Conduct hearings (initial, consolidated/single-session, and evidentiary/instructional hearings); • Act as the employer's representative (preposto) when necessary; • Review procedural filings and legal documents; • Draft labor pleadings of medium complexity; • Manage deadlines, case progress, and update case management systems; • Liaise with the client's legal team to align strategies and provide inputs; • Support HR and other internal departments on labor-related matters; • Analyze and review internal policies, contracts, and communications; • Prepare legal opinions and guidance; • Provide support on sensitive matters (disciplinary issues, terminations, labor risks, etc.).
