Role Description You'll be Firecrawl's first full-time in-house lawyer, owning legal across the business as we scale. Day to day, you'll partner with our revenue teams: - Redlining customer contracts, MSAs, and DPAs. - Moving deals forward quickly without letting risk pile up in the wrong places. You'll also own one of the most important and least-settled areas of law in our space: - How the web's data can be sourced, licensed, and served. - Real fluency in the legal landscape of web scraping and public data. - Structuring agreements so risk lands where it should across copyright, data access, and privacy. It's a hybrid role: - As much time with our engineers on how we source and serve data as with the commercial teams on the paper. You'll report to our Head of Finance and Legal and work closely with the founders, owning real surface area from day one. Qualifications - 6+ years practicing, with real exposure to data/IP, privacy, and technology transactions. - US Citizenship/Visa required. Requirements - You know the web scraping / public data legal terrain cold, or you're hungry to go deep on it fast. - You're as comfortable in a conversation with engineers about how data flows as you are redlining a contract. - You can structure a deal so the risk sits where it should, across copyright, data access, and privacy. - You're comfortable being the only lawyer in the room and making the call. - You translate legal complexity into clear, practical guidance for a fast-moving team. Role Description Airlock Digital is looking for a Sr. Commercial Counsel to support our commercial contracting needs as we continue to scale globally. This role will focus on drafting, reviewing, negotiating, and managing customer, partner, vendor, and SaaS-related agreements while partnering closely with Sales, Finance, Security, Product, and leadership. This is a hands-on contract role for someone who can operate independently, provide practical legal guidance, and help drive deals forward while balancing speed, risk, and business priorities in a fast-moving cybersecurity/SaaS environment. Key Responsibilities - Draft, review, negotiate, and manage a wide range of commercial agreements, including subscription agreements, MSAs, order forms, SOWs, NDAs, vendor agreements, partner agreements, reseller agreements, referral agreements, and alliance agreements. - Partner closely with Sales, Finance, Security, Product, and leadership to support revenue growth while managing legal and business risk. - Support negotiation strategy for customer, partner, and vendor agreements to help move deals forward efficiently while maintaining appropriate risk standards. - Review and negotiate data protection, privacy, and security-related contract terms, including data protection agreements. - Partner with internal teams to understand Airlock’s products, customer requirements, and risk profile. - Coordinate with outside counsel as needed on commercial, corporate, privacy, security, and other legal matters. Qualifications - J.D. from an accredited law school. - 12+ years of relevant legal experience in commercial contracts, SaaS agreements, technology transactions, or corporate legal work. - Strong experience drafting and negotiating B2B SaaS, technology, and commercial agreements. - Ability to independently manage contracts from intake through signature. - Strong business judgment with the ability to translate legal risk into clear, practical guidance for non-legal stakeholders. - Excellent drafting, negotiation, communication, and organizational skills. - Ability to prioritize effectively, manage multiple matters at once, and operate with urgency and professionalism. Assistant General Counsel – HELOC

• Provide strategic legal counsel to Product, Engineering, Risk, Compliance, and Operations teams to support Upstart's HELOC product and transition from a state-licensed lender to a national bank. • Provide legal counsel and advice on future products, which may include purchase-money mortgages. • Advise on federal and state consumer lending laws, mortgage regulations, and regulatory developments that impact home lending products and services. • Partner with cross-functional stakeholders to design compliant product features, customer experiences, operational processes, and servicing capabilities. • Lead legal support for new product initiatives, regulatory change management, and market expansion efforts related to home lending. • Collaborate across the Product & Regulatory Legal team and with other legal teams, including lawyers supporting Privacy, Fair Lending, Capital Markets and Commercial contracts, as needed. • Develop practical legal frameworks, policies, and guidance that enable business growth while appropriately managing legal and regulatory risk. • Collaborate with internal and external stakeholders, including regulators, bank partners, and outside counsel, on legal matters affecting the HELOC business. • Identify and communicate key legal risks to business partners; ability to distill complex legal matters and risks for senior leadership in a clear and actionable manner, synthesizing complex concepts into concise recommendations.
• You'll own the legal function day to day — hands-on, pragmatic, and commercially minded. • Work directly with leadership on a broad mandate: keep deals moving, protect the business, and use good judgment about what to handle in-house versus when to bring in outside counsel. • Start as the sole senior legal hire and build out the legal function as the company grows. • Lead commercial contracting — customer agreements, MSAs, DPAs, and vendor, partner, contractor, and consulting agreements — with fast turnaround. • Manage disputes and demand letters — assess exposure, set strategy, and coordinate with outside counsel and insurers. • Handle corporate matters — the insurance program (D&O/E&O renewals and claims), corporate governance, entity management, and support for financing or M&A activity as it arises. • Coordinate employment law matters across the US, UK, Canada, and other jurisdictions with international contractors.
