Job Description

Senior Contract Manager

Adswerve, Inc.

• Draft and review redlines of various contracts, including advanced fixed-bid agreements, master service agreements, and SaaS agreements, as well as amendments and renewals without supervision. Can take ownership of the contract process. • Coordinate with the Sales and Client Success teams and negotiate contracts on behalf of the Company; • Understands the ins and outs of Adswerve products and services • Participates in shaping contract review processes • Handle contract negotiation calls with clients • Manage and own contracts repository and templates, create new templates, maintain and update contractual records, changes, and status reports, and track contractual obligations; • Serve as the primary point of contact internally and externally for contractual matters; • Monitor contract compliance with established procedures and conduct audits to ensure compliance; and • Participate and assist in other legal projects as needed.

Job Requirements

  • Bachelor’s degree or equivalent year of experience
  • 5+ years of experience as a contracts manager or similar role that involves reviewing, drafting, and negotiating the legal terms of various commercial contracts, particularly Master Service Agreements, Consulting Agreements, and SaaS Agreements;
  • Excellent judgment and demonstrated discretion in handling confidential information;
  • Experience drafting contracts using plain English;
  • Knowledge of contracts law and privacy law;
  • Experience collaborating with technical and business teams to prepare technical statements of work for clients;
  • Ability to organize, prioritize, and manage multiple contract review requests and internal legal projects and remain unstressed by a long and ever-growing task list;
  • Ability to communicate clearly and respectfully with teammates, senior leadership, and clients;
  • Open-minded, flexible, and adaptive to organizational and process change;
  • Experience implementing and managing Ironclad
  • Experience with (or ability to quickly become a power user of) Salesforce, Service Cloud, Asana, Google Workspace, Microsoft Office, DocuSign, and other productivity applications
  • Positive attitude and support of the work of everyone on the team and their successes, including mentoring Contract Administrators and Contract Coordinators;
  • Meticulous and precise attention to detail.
