• Ensure technical excellence and strategic consistency of the practice’s corporate legal solutions by handling complex matters, strategic contracts and M&A transactions, focusing on risk mitigation, value creation for clients’ businesses and strengthening the firm’s institutional positioning. • Ensure that clients’ legal decisions are supported by deep, up-to-date analyses aligned with their business objectives; lead the team technically, validate deliverables and drive the evolution of advisory solutions with a long-term vision, innovation and high quality standards. • Provide technical leadership on complex corporate advisory matters, strategic contracts and M&A transactions. • Define legal strategies aligned with clients’ business objectives. • Manage legal relationships with strategic clients. • Review and validate technical deliverables produced by the team.
Job Requirements
- Degree in Law.
- Postgraduate degree in Corporate/Business Law.
- Active registration with the Brazilian Bar Association (OAB).
- More than 7 years of professional experience in corporate advisory, contracts, real estate and M&A.
- Fluent in English and French (mandatory; there will be a proficiency test).
- Proven experience handling strategic and complex transactions.

• Develop and own Maneva's commercial legal strategy, contracting standards, and risk framework. • Negotiate and execute all material customer contracts, partnership agreements, vendor agreements, and SaaS terms. • Develop and maintain contract templates, SOWs, DPAs, security agreements, and standard terms that balance commercial flexibility with legal risk mitigation. • Build and maintain internal knowledge of key commercial deals, flagged risk areas, and deal progression; advise leadership on deal structure and negotiation strategy. • Work closely with sales, product, and operations teams to ensure contracts support business objectives while managing legal exposure. • Develop and implement AI-powered automations across legal workflows • Use AI tools to increase efficiency in contract drafting, legal analysis, due diligence, and compliance monitoring • Build and maintain AI-assisted legal templates, processes, and knowledge bases that scale legal work without proportional headcount • Identify issues, manage external counsel relationships, and outsource specialist work as appropriate for various legal matters.
