• Draft original motions, pleadings, and other litigation-related documents in complex matters • Prepare and respond to written discovery, including drafting discovery requests and responses exchanged with multiple parties • Develop and advance case defenses, litigation strategy, and trial themes with a high degree of autonomy • Analyze and apply state and federal case law, statutes, and regulatory authority to case facts in support of pre-trial motions and other submissions • Interview, prepare, and examine fact witnesses, expert witnesses, and corporate representatives for testimony in litigation or before regulatory bodies • Take and defend lay, expert, and corporate representative depositions • Argue motions and appear in court as appropriate • Draft pre-trial reports, case evaluations, and perform exposure and risk analysis • Participate in mediations, settlement conferences, hearings, and court-mandated proceedings • Develop comprehensive strategies for case resolution and approach legal issues with creativity, sound judgment, and efficiency • Negotiate settlements with plaintiffs and opposing counsel • Build and maintain strong client relationships through clear, professional oral and written communication • Participate in networking and business development activities to support client relationships and firm growth

• Evaluate, prepare, and finalize both incoming and outgoing production and creative contracts, encompassing SAG-AFTRA agreements, talent and performer deals, crew engagements, production services arrangements, and content licensing agreements • Evaluate, prepare, and finalize music rights for advertising campaigns, including synchronization licenses, master use authorizations, publishing arrangements, and bespoke composition deals with music production houses and independent composers • Structure and execute contracts with ad agencies, production houses, directors, photographers, and post-production suppliers for commercial campaigns, including creative agency master service agreements, production house deals, influencer and brand partnership arrangements • Serve as an embedded business affairs and legal resource for Creative and Production teams — counseling on transaction architecture, SAG-AFTRA signatory requirements, broadcast clearance standards, and AI considerations including generative AI utilization, AI-generated content ownership, and vendor AI provisions • Facilitate rights acquisition and clearance processes for commercial productions, covering talent likeness and image permissions and third-party intellectual property clearances • Build and maintain scalable production workflows, deal memo templates, and contract management processes for Hims & Hers' commercial and marketing production operation, including SAG-AFTRA signatory compliance and AI vendor terms.

• Handle escalated notice & takedown cases related to user-generated content on the Airbnb platform; proactively manage risk, identify patterns and opportunities to improve workflows, and support the team through quality control, training, and process development • Manage ongoing prosecution and maintenance of global trademark, domain name, and copyright portfolios for Airbnb, HotelTonight, and other acquired brands • Manage a docket of trademark enforcement and IP dispute matters, including corresponding directly with third parties using our marks improperly and negotiating resolutions of trademark disputes • Advise internal partners on the legal risks and viability of proposed trademarks and domain names, including conducting trademark searches and providing guidance on use and registration issues • Collaborate with a fast-paced and high-performing team on IP strategy and program management • Proactively manage and audit trademark and domain name portfolios, collaborating with internal stakeholders to align portfolios with business objectives • Consult and partner with marketing, product, and commercial counsel on trademark, copyright, and right of publicity issues

• Create standardized templates, playbooks, and guidelines for product contract terms to improve efficiency and consistency, and ensure alignment with product capabilities. • Provide strategic guidance on and manage intellectual property risks across Cohere’s product portfolio, including open source software (OSS) compliance and third-party software integration. • Identify and mitigate legal risks throughout the product lifecycle, working closely with product regulatory and commercial counsel to manage regulatory compliance, liability exposure, and contractual obligations. • Quarterback Legal input ahead of product launches, collaborating with internal and external legal counsel. • Partner with product managers, engineers, and business development teams to provide early legal input on product design, feature development, and market strategy. • Stay current on relevant technology regulations and assess their impact on product development and commercialization. • Advise internal teams on key legal considerations for product development and commercialization.
