General Counsel

Physical Superintelligence

Role Description As our first in-house legal hire, you will: - Take the legal function to its next stage by building on the existing legal foundation. - Decide what is best owned internally as the company grows and partner with existing counsel. - Establish contracts, processes, and playbooks needed now, building a scalable function. - Own complex customer contracting, leading negotiation and structuring of agreements with sophisticated enterprise customers. - Bring creativity to deal structure, moving deals from pilot to production while protecting PSI's IP. - Support fundraising by partnering with leadership and investors through financing rounds. - Cover employment and people matters, owning offer letters, equity grants, and immigration support. - Protect intellectual property by standing up the IP program and coordinating with technical leadership. - Own compliance for a company doing physics at scale, identifying applicable regulations and building pragmatic compliance. - Be a commercial partner, providing fast, practical, risk-calibrated advice. Qualifications - A first-principles, build-it-yourself operator with experience in building a legal function. - Strong commercial contracting experience with sophisticated, high-value enterprise customers. - Venture financing experience, understanding clean diligence and a fundable corporate posture. - Working command of employment law in a fast-growing company. - Solid grounding in IP relevant to deep tech. - Command of the regulatory landscape associated with advanced technology work. - Bias to ship, demonstrating the ability to operate without bureaucracy in fast-moving environments. Requirements - Experience at a deep tech, hardware, energy, or compute infrastructure company. - Familiarity with export control regimes (EAR/ITAR) and national-security-adjacent considerations. - Background advising on AI, data, or emerging-technology regulatory questions. - Experience managing a panel of outside counsel cost-effectively. - Admission to practice in Massachusetts, or eligibility for in-house registration. Qualifications - Juris Doctor (JD) degree from an accredited law school; active bar membership in good standing. - Practical experience negotiating commercial contracts gained in a law firm, in-house, or a combination of both for 2+ years. - Ability to independently manage and negotiate commercial contracts including those with customers and vendors. - Familiarity with data privacy, intellectual property, and regulatory issues including those relevant to GDPR and CCPA. - Excellent communication, negotiation, and project management skills. - Attention to detail with a strong understanding of legal and business risks in contracts. - Strong problem-solving orientation with the ability to work independently in a fast-paced environment.
