Job Description

Legal Counsel

IFS

• Serve as lead attorney for all commercial transactions, including drafting and negotiating software license agreements, consulting agreements, SaaS agreements, and other commercial contracts, with authority to approve deal terms within established delegation thresholds; • Lead Biz Ops calls and serve as a trusted advisor to IFS Softeon's executive and business teams, providing accurate and timely legal advice with integrity and responsibility, especially to Sales, Services, Finance, Marketing, and Partner teams; • Own legal operations for IFS Softeon, including improving legal processes and procedures, developing standard contract terms, and building scalable legal infrastructure for the business unit; • Lead all corporate governance matters for IFS Softeon, including maintaining corporate separateness and proper entity formalities during the integration period, and provide primary legal support for audit, tax/treasury, HR/employment relations disputes, and real estate matters (leases, construction, etc.); • Drive the legal workstream for the post-acquisition integration, including reviewing and remediating legacy customer contracts with uncapped liability exposure and advising on entity structure decisions in coordination with the DGC – M&A; • Work collaboratively with the broader IFS legal team by sharing knowledge, coordinating on cross-entity matters, and contributing to legal newsletters and training as assigned by the CFO/CRO of IFS Softeon DGC – M&A; • Support global legal projects as assigned by the CFO/CRO of Softeon and the DGC – M&A and manage relationships with outside counsel; • Keep up to date with changes in laws and regulation and maintain a deep industry knowledge; perform other tasks as assigned or delegated by the CFO/CRO of Softeon and the DGC – M&A.

Job Requirements

  • Juris Doctor from an ABA-accredited law school
  • A minimum of 5 years of commercial transactional experience at a law firm and/or in-house legal department
  • Licensed and in good standing to practice law in one or more states
  • Experience drafting and negotiating commercial contracts
  • Strong attention to detail and proven ability to prioritize competing demands in a fast-paced environment
  • Ability to work independently and demonstrate sound judgment to make real time decisions in ambiguous situations
  • Strong interpersonal, written and oral communication, and organizational skills
  • Demonstrated ability to operate as a legal generalist across multiple disciplines
  • A "roll-up your sleeves" attitude -- no project is too big or too small for you.
