BASIC FUNCTION: The Corporate Operations Specialist is responsible for processing and servicing a wide variety of loans including highly complex mortgage and commercial loans, loan servicing actions, syndications and/or participations to expedite credit delivery in the Corporate Banking Group; answering involved inquiries and resolving challenging problems. Ensures that loan documentation meets all regulatory and legal requirements. Is a member of and provides support to customer deal teams. Leads and directs deal teams with respect to regulatory and documentation needs for complex loan transactions. Works closely with customers, deal teams, multiple AAC departments, syndicate and/or participant lending partners, attorneys and/or title companies to seamlessly provide timely credit to customers and an overall positive experience for customers and employees. Assists with the loan boarding process into accounting systems. The Corporate Operations Specialist may or may not manage a portfolio with an emphasis in a particular area, either Agribusiness, Capital Markets Originated, or Capital Markets Non-Originated. While the basic job function remains the same, the degree in which tasks are required and completed depend on the Association’s role in the transaction. ESSENTIAL DUTIES: - Participate in deal calls to gain an understanding of documentation and structuring needs both from an Association and borrower perspective. Direct deal team to obtain necessary information and assist with same as appropriate. - Determine appropriate title insurance requirements are requested and accurate loan documentation is prepared to cover the Association when dealing with cross collateralization of complex real estate transactions, such as multiple title policies with tie-in endorsements and prorating title insurance coverage to cover multiple loans based on multiple collateral values. - Request, review, process and provide instruction to others with respect to entity documents, loan documents, title due diligence, appraisals, insurance information, environmental compliance, lien perfection, deposit account set up, disbursements, UCC filing/monitoring, etc. - Apply independent discretion and knowledge to answer questions from deal teams, title companies, customers, attorneys, other departments and syndicate/participant lending partners. Keep all groups informed as to loan status and readiness for closing. Proactively reach out to various individuals to hold them accountable to their responsibilities to ensure a timely and accurate loan closing and funding. - Receive, analyze, investigate and track loan information. Recognize discrepancies and/or noncompliance with policies and procedures, and respond appropriately; request clarification and supporting documentation from deal teams, lenders, attorneys, title companies or borrowers as needed. Ensure all loan controls and closing conditions for the approved loan transaction are reflected in the final loan documents and obtained prior to closing the loan. - Create, review and monitor covenants and covenant reports in compliance with Association procedures. Keep deal teams informed of updates, compliance with covenant monitoring, loan servicing, insurance requirements, etc. - Establish and maintain accurate member files to ensure documentation is complete, supports the credit, is compliant with policies, procedures and regulations. Manage distribution of information to staff and other lenders or partners as appropriate. - Review trust certifications and entity documentation to verify authority and accuracy of signers, which may involve multiple and various types of entities, ensure that the loan origination system is completed consistently with this information; request/review searches of same. - Review and analyze appraisal reports to determine the collateral valued for the transaction, owners of collateral and ensure that the loan origination system accurately reflects all of this information and appropriate insurance coverage is required, obtained, and maintained. Review the necessary security documentation needed to perfect American AgCredit’s lien on real property held as fee simple and/or leasehold estate as well as associated personal property, such as water assets, equipment, timber, fixtures, etc. Request clarification and supporting documentation as needed from the deal team, documentation team, appraisers, attorneys, customers, lenders and/or title companies as needed. - Review personal property and real property searches, preliminary title/commitment reports and copies of other lien filings to identify and confirm that American AgCredit’s lien position meets approved requirements. Review subordination and other documents necessary to perfect American AgCredit’s lien on collateral. Identify and address any potential closing issues and appropriate documentation required for closing. - Review escrow instructions for real property secured transactions, confirming appropriate level of coverage is required with necessary title endorsements. - Process requests for partial releases, exchanges, additions, leases, easements and monetary transactions. - Review nonstandard language for loan documents as required. Coordinate with legal counsel to develop and prepare loan documentation or provide non standard language when necessary. - Prepare Participation Certificates and related documentation. Review Participation Certificates prepared by others to ensure they accurately reflect the details and negotiated terms of the participation. - Review, understand and extract data from complex loan agreements and loan origination system to assist the Accounting Department in accurately booking loans in the loan accounting systems and provide timely funding to customers and lending partners. - Compose and prepare correspondence; prepare, edit and proof various loan related documents. Instruct deal team to create appropriate loan conditions and covenants and ensure compliance with same. - Input required data into loan origination and related systems. - Answer inquiries and provide information to deal teams, lenders and others as to perfecting loan collateral, loan structure, loan covenants and conditions and/or direct other inquiries to the appropriate person. Initiate deal team calls including representatives from ancillary departments to ensure alignment on deal structure, outstanding deliverables, timing and ability to meet target closing date. - Identify and provide details of deficiencies in loan documentation information and packages to gain more efficiency and provide better customer service. - Review loan documentation prepared by self, peers, LDD, counsel, or other lenders for accuracy and completion, as well as to identify and track pre and post closing requirements including ongoing covenant monitoring, and ensure loan origination system reflects consistent information. - Prepare certain loan documentation including but not limited to Interest Rate Disclosure Statements, Renewal Letters, Extension Letters, Membership Agreements and Conversion documentation. - Research and analyze loan packages to independently prepare loan documentation according to loan request and approval for Agribusiness loans and servicing actions. - Identify, recommend and assist in the implementation of process improvements and procedure changes. Represent Corporate Banking on special projects and research as assigned. - Coordinate loan closings with lenders, customers, title companies, attorneys and other departments. - Maintain relationships and provide excellent service to borrowers as well as other AAC employees and external partners such as lenders, participants, attorneys, title companies and vendors. - Utilize data to manage workload and monitor accuracy of information. - Assist as appropriate with mortgage lien certifications, covenant monitoring, paid off loans and other processes. - Perform other functions as assigned. TYPICAL EDUCATION AND EXPERIENCE: Corporate Operations Specialist - AA/AS degree with emphasis on business or high school diploma with three years experience performing technical or administrative duties in a related field.
