Role Description The position requires an articulate, motivated, and approachable commercial lawyer. Responsibilities include: - Providing accurate, timely, and professional counsel to all levels of the organization, including executives, on a variety of legal topics that cross multiple geographies. - Applying effective risk management techniques and offering proactive advice on possible legal issues. - Managing, directing, and mentoring direct-report Contract Managers on a day-to-day basis. - Reporting to General Managers and consulting with Group Legal Counsel to deliver updates, receive guidance, and align work with business priorities. - Reviewing incoming customer requests for proposals, identifying proposal requirements, and reviewing terms and conditions for acceptability and compliance with company policies and procedures. - Assisting in proposal development as required and participating in securing required management approval for submitting proposals to customers. - Performing contract/subcontract review, negotiating, and interfacing with customer/vendor contracting personnel. - Working with management, sales, finance, and service teams to manage and structure contracts, including participating in team reviews, negotiations, and approvals. - Taking proper action to close out contracts in accordance with applicable procedures at the conclusion of all activity. - Assuring timely communication of legal and contract information with management and other stakeholders, and maintaining complete and accurate contract files. - Supporting the development of new legal workflows, policies, and procedures to improve legal team processes and efficiency. - Testing and implementing new legal technology and AI tools to enhance legal review efficiency and effectiveness. - Collaborating with other legal teams, including attending group meetings and sharing information on legal risks, trends, and developments. - Working autonomously, planning, scheduling, and arranging their team’s and their own activities to accomplish objectives. - Some travel is required; candidate must be able to travel to and within Canada and the U.S.A. Qualifications - A university degree in law is mandatory. Qualified candidates must have been called to the Bar (in Canada or USA) and be in good standing. - Strong corporate and commercial law skills and experience, including familiarity with software licensing agreements, public procurement, and contract negotiation. - Experience managing teams and interacting with customers in a direct capacity. - At least 4 years of related experience is required.
