• Working closely with internal stakeholders to ensure our employment practices are proper and well-understood within the company and to ensure compliance with regional legal requirements. • Drafting and maintaining numerous employment related policies that are required for global operations, including ethics, anti-corruption, anti-harassment and others. • Supporting the human resources team through operational guidance and process training. • Staying informed on employment and labor law issues affecting Talkdesk in our geographies. • Balancing competing priorities of various constituencies.

Job Requirements

  • Law degree required and current license to practice in California or Washington State
  • Minimum of 5 years law firm or equivalent in-house experience
  • Demonstrated experience in international employment law
  • Superior writing and presentation skills
  • Superior communication and leadership skills
  • Self-motivated, organized, pro-active, requires little hands-on supervision

What You Will Be Doing - Reporting pursuant to and compliance with rules and regulations of the U.S. Securities and Exchange Commission such as annual and quarterly reports on forms 10-K and 10-Q, proxy statements, Form 8-Ks, Section 16 filings and other SEC filings. - Reporting pursuant to and compliance with rules and regulations of the New York Stock Exchange. - Assume responsibility for subsidiary management around the globe, overseeing and working with the team’s senior corporate paralegal and key stakeholders for execution of this work. - Assist in efforts regarding climate and sustainability reporting. - Prepare materials for Board and Committee meetings. This includes agendas, corporate governance documents, corporate resolutions, and meeting minutes. You will also prepare and maintain Diligent board books. - Prepare and maintain different corporate governance materials. This includes various policies, charters, and research. Analyze and provide advice on many corporate governance topics. Keep track of industry precedents and emerging trends. - Anticipate and identify changes in relevant laws and regulations, and develop and implement recommended actions. - Work with members from the legal, finance, investor relations, HR, stock, and compensation teams. You will complete intercompany tasks, manage tax matters, oversee treasury operations, address equity issues, and support corporate finance, M&A, and other global strategic initiatives. - Manage insider trading policy maintenance and compliance and associated 10b5-1 trading plan compliance. - Manage ongoing public company matters. This includes planning and logistics for annual shareholder meetings. You will also oversee director and officer questionnaires, related party transactions, and corporate compliance calendars. - Ensure correct reporting of data with respect to Institutional Shareholder Services evaluation and optimize scoring related thereto. - Partner with co-workers who are sharp and motivated, combined with a company culture that is inclusive, stimulating, and unequaled. Qualifications - A Juris Doctor degree. - A minimum of 3 - 5 years of corporate law experience with any combination of law firm and/or in house roles. - You thrive while autonomously running your own time in a dynamic environment, and can handle ambiguity and rapidly shifting priorities with flexibility, and humor. - You are tech savvy and learn quickly. - You can handle competing demands on your time. Compensation - Compensation for this role is in the form of base salary. This role does not have a variable compensation component. - The typical starting salary range for new hires in this role is $128,200 — $202,700 USD. - The typical starting salary range for this role in select locations (including Seattle WA, Los Angeles CA, the San Francisco Bay Area CA, and the New York City Metro Area) is $153,800 — $243,300 USD. - An employee's position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, geographic location, performance, and business or organizational needs. - Elastic believes that employees should have the opportunity to share in the value that we create together for our shareholders.
