Role Description Reporting to the Assistant General Counsel and Deputy Corporate Secretary, with a dotted line to the Director of Corporate Legal, we are looking to hire a U.S.-based Corporate and Securities Counsel to join our Corporate, M&A and Procurement legal team in this dynamic, growing and truly globally distributed company. What You Will Be Doing - Reporting pursuant to and compliance with rules and regulations of the U.S. Securities and Exchange Commission such as annual and quarterly reports on forms 10-K and 10-Q, proxy statements, Form 8-Ks, Section 16 filings and other SEC filings. - Reporting pursuant to and compliance with rules and regulations of the New York Stock Exchange. - Assume responsibility for subsidiary management around the globe, overseeing and working with the team’s senior corporate paralegal and key stakeholders for execution of this work. - Assist in efforts regarding climate and sustainability reporting. - Prepare materials for Board and Committee meetings. This includes agendas, corporate governance documents, corporate resolutions, and meeting minutes. You will also prepare and maintain Diligent board books. - Prepare and maintain different corporate governance materials. This includes various policies, charters, and research. Analyze and provide advice on many corporate governance topics. Keep track of industry precedents and emerging trends. - Anticipate and identify changes in relevant laws and regulations, and develop and implement recommended actions. - Work with members from the legal, finance, investor relations, HR, stock, and compensation teams. You will complete intercompany tasks, manage tax matters, oversee treasury operations, address equity issues, and support corporate finance, M&A, and other global strategic initiatives. - Manage insider trading policy maintenance and compliance and associated 10b5-1 trading plan compliance. - Manage ongoing public company matters. This includes planning and logistics for annual shareholder meetings. You will also oversee director and officer questionnaires, related party transactions, and corporate compliance calendars. - Ensure correct reporting of data with respect to Institutional Shareholder Services evaluation and optimize scoring related thereto. - Partner with co-workers who are sharp and motivated, combined with a company culture that is inclusive, stimulating, and unequaled. Qualifications - A Juris Doctor degree. - A minimum of 3 - 5 years of corporate law experience with any combination of law firm and/or in house roles. - You thrive while autonomously running your own time in a dynamic environment, and can handle ambiguity and rapidly shifting priorities with flexibility, and humor. - You are tech savvy and learn quickly. - You can handle competing demands on your time. Compensation - Compensation for this role is in the form of base salary. This role does not have a variable compensation component. - The typical starting salary range for new hires in this role is $128,200 — $202,700 USD. - The typical starting salary range for this role in select locations (including Seattle WA, Los Angeles CA, the San Francisco Bay Area CA, and the New York City Metro Area) is $153,800 — $243,300 USD. - An employee's position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, geographic location, performance, and business or organizational needs. - Elastic believes that employees should have the opportunity to share in the value that we create together for our shareholders. • Legal support across a broad range of commercial, operational, regulatory, and data protection matters. • Maintaining data protection matters together with the DPO, including privacy engineering and privacy-by-design initiatives. • Reviewing and advising on NDAs, service agreements, vendor documentation, marketing materials, and other commercial or operational legal documents. • Supporting collection, analysis, and structuring of legal information for internal decision-making. • Assisting payment scheme, compliance, risk, product, and operations teams with ad hoc legal input. • Providing practical legal guidance in a fast-moving fintech environment. • Building a scalable and organized legal function, including Legal Single Source of Truth for multi-jurisdictional licenses, registrations, legal requirements, and documentation. • Supporting finance, risk, compliance, and operational teams with legal data collection and preparation. • Overseeing the Contract Lifecycle Management system, including vendors and outsourcing register. • Maintaining and improving legal function automation in collaboration with IT team. • Coordinating interdepartmental communication for legal data collection, updating, and accessibility. • Improving legal workflows, templates, registers, and internal processes.

• Analyze laws and regulations in India concerning AI to understand their impact on OpenAI and the broader AI community. • Develop policy positions on frontier legislation, pending legislation and international standards. • Partner with Global Affairs team on regulatory strategy and engagement. • Manage Indian regulatory compliance matters. • Collaborate with Product Legal teams to support the availability, growth, and responsible deployment of OpenAI’s products and services in India. • Contribute to our ongoing improvements to AI governance as regulations come into force. • Monitor and keep the broader legal team updated on emerging legislative and regulatory developments related to AI in the APAC region.

• Lead and develop Virta’s Legal team, building a high-performing function with clear priorities, strong operating rhythms, and the capabilities needed to support company growth, enterprise risk management, and Virta’s next stage of scale • Serve as a strategic advisor to the executive team and Board on legal, regulatory, governance, and business matters • Partner closely with Commercial, Product, Clinical, People, Finance, and Operations teams to enable company growth • Lead all corporate legal matters, including governance, financing support, strategic transactions, litigation management, employment matters, and enterprise risk • Oversee healthcare regulatory and compliance strategy across a rapidly evolving landscape • Help prepare the organization for future public company requirements, including governance, disclosure practices, and operational rigor • Support complex commercial contracting with enterprise customers, health plans, employers, and strategic partners • Build scalable legal processes and infrastructure appropriate for a high-growth company • Modernize the legal function through the thoughtful adoption of AI-enabled tools and workflows • Manage and develop outside counsel relationships and any future in-house legal team expansion • Foster a practical, solutions-oriented legal culture that balances risk management with business velocity
