• Become a founding member of the product legal team, serving as a legal partner to ClickHouse's product, engineering, and design organizations across the full product development lifecycle. • Cultivate strong relationships with product and engineering leadership and act as a pragmatic, solutions-oriented legal advisor. • Advise on legal issues arising from new and evolving product features, with a particular focus on AI/ML (including training data, model outputs, IP ownership, and regulatory frameworks), data privacy, intellectual property, and open-source software. • Advise on, draft, and review technology licensing and integration partnership agreements with strategic product and ecosystem partners. • Advise on open-source licensing strategy and compliance. • Draft, review, and maintain product-specific legal terms, policies, and documentation. • Support legal integration work arising from acquisitions, including diligence of acquired product IP, policy alignment, and creation of new or modified legal terms for acquired company customers. • Advise on trademark and brand protection matters, including monitoring for potential infringement, responding to third-party claims, and counseling on product naming and go-to-market materials. • Partner with the Governance, Risk, and Compliance team to build privacy-by-design practices into product development and ensure compliance with global data protection regulations (GDPR, CCPA, and equivalents) and standards. • Partner with the Security and Privacy teams on incident response, advising on notification obligations, regulatory reporting requirements, and customer communications. • Monitor and advise on relevant regulatory, compliance, and legal developments impacting the product, including AI, privacy, and export compliance, and partner with cross-functional stakeholders to translate them into actionable guidance. • Help develop scalable legal workflows that support rapid product iteration and growth.

Role Description The Sr. Corporate Counsel will focus primarily on leading and providing support for contract development, review, negotiation, management, and related initiatives across the company, including oversight of the company’s contract management system. Responsibilities/Essential Duties: - Independently draft, review, negotiate, and manage both in-house contracts and third-party contracts (domestic and international), including but not limited to: - Product distribution agreements - Research and development agreements - Manufacturing and supply agreements - Master services agreements (and related statements of work) - SaaS agreements - Clinical trial agreements - Material transfer agreements - HCP/HCO agreements - Consulting agreements - Nondisclosure agreements - Independently draft, de novo, entire contracts and contract language, to successfully address business and legal issues and mitigate risk. - Identify and define legal issues and business risks, and succinctly communicate issues, risks, and concerns to appropriate internal decision-makers for discussion and resolution. - Serve as legal contracts representative for: International, Manufacturing, Regulatory, Quality, Process & Formulation Development, IT, HR, Finance and Project Management. - Provide practical, solution-oriented contractual and business advice. - Ensure contract terms are consistent with company policies. - Proactively engage with internal clients and vendors to effectively address contractual and business questions. - Train and guide business teams on the use of contract templates, processes and good contracting practices. - Assist in developing and implementing new Legal Department contracting policies, procedures and templates. - Assist in managing, maintaining and enhancing the company’s contract management system to ensure contract repository is accurate and up-to-date. - Identify and implement methods to improve department efficiency and productivity. - Provide legal due diligence and contracting support as needed. - Complete special projects, such as collaborating on department-wide or company-wide initiatives. Qualifications - Minimum of 3 years’ experience at an AM Law 100 firm. - 4+ years of experience as an in-house counsel. - Extensive experience with reviewing & drafting CDA, MSA & SOW agreements. - J.D. from an accredited law school & 8+ years’ directly related experience. - Must be admitted to practice, or have Bar membership, in the state of residence. - Experience in Pharma or Medical device is a plus. As a Commercial General Liability Claim Adjuster, you will be responsible for handling and supervision of complex and litigated liability and property claims.
