Corporate Counsel

Role Description onPhase, a leading provider of financial automation and payment solutions, is seeking a detail-oriented and business-minded Corporate Counsel to join our team. This role will focus heavily on commercial contracting while also serving as a key partner to the business by supporting customer and vendor agreements and helping manage legal risk. The ideal candidate thrives in a fast-paced environment, is comfortable managing a high volume of agreements, and has the ability to draft, review, and negotiate contracts while balancing legal considerations with business objectives. - Draft, review, and negotiate a high volume of customer-facing and revenue-generating agreements, including SaaS agreements, Services Agreements, Statements of Work, order forms, and Non-Disclosure Agreements, as well as vendor contracts. - Independently manage the full contract lifecycle, including redlining, negotiation, and execution of agreements. - Partner closely with Sales and Revenue Operations teams to support deal structuring, contract negotiations, and timely deal closure. - Provide clear, practical guidance on contract terms, including liability, indemnification, payment terms, and service levels, balancing risk with business objectives. - Lead contract negotiations with customers, vendors, and partners, driving agreements to resolution in a timely manner. - Support efforts to improve contract turnaround time and streamline contracting workflows to accelerate the sales cycle. - Identify and assess legal and business risks in agreements and recommend appropriate solutions. - Assist with compliance-related matters, including data privacy and security considerations. - Maintain organized documentation and support contract and legal record management. - Provide training and guidance to internal stakeholders on contracting best practices. - Support the management of outside counsel as needed for specialized legal matters. - Assist with additional legal and business initiatives as the company continues to grow. Qualifications - Juris Doctor (JD) from an accredited law school. - Active bar membership in good standing. - 2–4 years of experience in commercial contracting (law firm or in-house). - Demonstrated ability to independently draft, review, and negotiate commercial agreements. - Experience handling a high volume of contracts in a fast-paced environment. - Strong attention to detail with the ability to manage multiple priorities and deadlines. - Strong communication and interpersonal skills, with the ability to explain legal concepts clearly to non-legal stakeholders. - Ability to balance legal risk with business objectives in a practical and solutions-oriented manner. Preferred Qualifications - Experience in a SaaS, fintech, or technology company. - Familiarity with subscription-based business models. - Exposure to data privacy and security requirements. - Experience working with contract lifecycle management (CLM) tools.

Purpose The National General Adjuster must be able to work independently or with minimal supervision handling larger and/or complex commercial property claims in a prompt, equitable, and professional manner. Key Accountabilities - Examines claims forms, policies, client instructions, and other records to assist their client in determining coverage. - Reviews complex financial data, inventories, contracts, quotes, estimates and other documents, and applies sound adjusting techniques to determine loss amounts as covered by the applicable policy. - Engages and directs experts of all disciplines, analyzes coverage, and reports accurate estimates of damage while managing all damage components of the loss. - Prepares estimates of damage and supporting documents to convey the loss. - Prepares reports by collecting and summarizing information required by client, local, state, and federal government, and by McLarens. - Manages support teams or individual adjusters. - Controls claim costs. - Recommends litigation or subrogation when appropriate. - Successfully develops new business and market opportunities. - Maintains company reputation and insurance product integrity by complying with federal and state regulations and corporate quality standards. - Maintains the appropriate licenses as required by the various state Departments of Insurance (DOI). - Performs other duties as instructed by their Director of Operations (DOO).
