• Collaborates with colleagues within the Conflicts, Client Engagement, and Risk Management departments to identify and resolve conflicts of interest issues. • Directs and conducts specific processes in the Conflicts department, including efficient review, identification and resolution of conflicts of interest. • Drafts conflicts waivers, reviews lateral candidates, and provides recommendations regarding ethical wall implementation. • Maintains thorough and accurate records of conflicts resolutions. • Assures compliance with applicable Rules of Professional Conduct related to conflicts of interest and client engagement agreements.

• Draft, review, and negotiate customer contracts, including SaaS subscription agreements, master service agreements, data processing agreements (DPAs), and statements of work • Maintain and continuously improve BeNeering's standard contract templates to reflect best practice for a SaaS provider • Identify and flag legal risks in customer-proposed contract language, particularly around intellectual property, liability, data protection, and service levels • Support the sales team with legal input during commercial negotiations, ensuring deals close efficiently without unnecessary legal risk • Ensure BeNeering's contracts comply with applicable law, including GDPR, and reflect the realities of a SaaS delivery model • Build and maintain a contract repository and develop internal processes for contract management • Stay current on legal developments relevant to SaaS, AI, data protection, and procurement technology

• Serve as a trusted legal advisor to ARC leadership and team members on a wide range of legal and compliance matters • Provide day-to-day legal support on U.S. government contracts and financial assistance agreements, including FAR-based contracts and subcontracts, Cooperative Research and Development Agreements (CRADAs), other transaction agreements, and teaming or joint venture agreements • Advise on commercial transactions, including the drafting, review, and negotiation of a variety of agreements such as research collaborations, licensing arrangements, vendor contracts, and service agreements • Manage and support the resolution of disputes, claims, and other contested matters, including coordination with outside counsel as needed • Interpret complex laws and regulations and provide practical guidance to drive compliance with applicable legal and regulatory requirements, including in areas such as government contracting, privacy, cybersecurity, artificial intelligence, export controls, and general corporate matters • Collaborate with other parts of the business, including other legal peers and functional organizations (e.g., Labor & Employment, Business Development, Finance) • Draft or assist in drafting legal, business, or commercial communications to internal stakeholders and third parties, including government agencies • Conduct presentations for various purposes and audiences (e.g., presenting legal matters to senior business or legal leadership, training business or legal personnel on legal matters) • Support the management of budget and outside counsel matters in area of responsibility

• Asesorar jurídicamente en la constitución, puesta en marcha y operativa mercantil de la empresa en Paraguay. • Redactar, revisar y validar contratos mercantiles, societarios y corporativos . • Brindar soporte legal en temas vinculados a estructura empresarial, gobernanza y cumplimiento normativo . • Coordinar documentación legal necesaria para la actividad de la sociedad. • Acompañar en procesos relacionados con contratación de personal en nómina desde la perspectiva jurídica empresarial. • Trabajar de forma coordinada con gerencia, contador y asesores externos. • Detectar riesgos legales y proponer soluciones preventivas. • Dar soporte en cualquier necesidad jurídica vinculada al crecimiento y consolidación de la empresa en Paraguay.
