• Serve as a trusted legal advisor to ARC leadership and team members on a wide range of legal and compliance matters • Provide day-to-day legal support on U.S. government contracts and financial assistance agreements, including FAR-based contracts and subcontracts, Cooperative Research and Development Agreements (CRADAs), other transaction agreements, and teaming or joint venture agreements • Advise on commercial transactions, including the drafting, review, and negotiation of a variety of agreements such as research collaborations, licensing arrangements, vendor contracts, and service agreements • Manage and support the resolution of disputes, claims, and other contested matters, including coordination with outside counsel as needed • Interpret complex laws and regulations and provide practical guidance to drive compliance with applicable legal and regulatory requirements, including in areas such as government contracting, privacy, cybersecurity, artificial intelligence, export controls, and general corporate matters • Collaborate with other parts of the business, including other legal peers and functional organizations (e.g., Labor & Employment, Business Development, Finance) • Draft or assist in drafting legal, business, or commercial communications to internal stakeholders and third parties, including government agencies • Conduct presentations for various purposes and audiences (e.g., presenting legal matters to senior business or legal leadership, training business or legal personnel on legal matters) • Support the management of budget and outside counsel matters in area of responsibility

Role Description We are expanding our in-house legal team, creating an opportunity for an exceptional lawyer as Legal Advisor or Legal Counsel. The successful candidate will be a rigorous and effective practitioner with a track record of academic achievement and social engagement. What your day will look like: - Draft and review corporate policies, spearhead process change, and deploy controls to meet compliance regulatory requirements globally. - Help develop, maintain, and scale global privacy programs, including conducting PIAs, ROPAs, and supporting operational initiatives. - Work cross-functionally with teams to evaluate the impact of privacy and data protection laws and regulations, including AI regulations. - Provide legal support to various internal clients across the company, including Canonical’s product teams. - Interface with cross-functional teams to support company initiatives, including AI deployment and use. - Work with local counsel in many countries to seek and implement advice. • Provide first-line client-centric legal support to our Sales teams on privacy, commercial and legal issues. • Review and negotiate commercial agreements, which may include SaaS agreements, data processing agreements, consulting agreements, non-disclosure agreements, master services agreements, and statements of work. • Work with other various business teams on a variety of legal processes as needed. • Partner closely with Sales stakeholders, particularly in DACH, to understand the business objectives and hurdles, and drive strategic improvements. • Collaborate with other legal and compliance practice groups to accelerate and unlock growth for HubSpot with a customer-centric mindset.
