• Negotiate and draft customer-facing SaaS agreements, order forms, amendments, NDAs, DPAs, reseller and referral agreements, and related commercial documents • Serve as the primary point of contact for Sales and Revenue Operations on contract questions, negotiation strategy, and turnaround • Own and continuously improve TrueCommerce’s sales contract templates, fallback positions, and negotiation playbook in coordination with the General Counsel • Coordinate cross-functional reviews (Security, Finance, Tax, Privacy) and route deals through the appropriate approval workflows in TrueCommerce’s CLM and signature tools • Ensure contract provisions are clear and conform to TrueCommerce policies, the negotiation playbook, contract law, and applicable regulations • Independently identify, assess, and resolve commercial risk within delegated authority; escalate matters outside the established framework to the General Counsel • Track and report cycle time, escalation volume, and template adoption; deliver enablement and training to Sales and Sales Operations on contracting best practices • Own intake-to-signature for vendor and procurement contracts (MSAs, SOWs, DPA, security exhibits, order forms, click-throughs) and serve as the primary contracts contact for IT, Security, Finance, and business owners • Negotiate vendor terms (limitation of liability, indemnity, data protection, security, insurance, termination) against TrueCommerce’s procurement playbook; escalate non-standard risks to the General Counsel • Ensure vendor data flows, sub-processor approvals, and required security and privacy diligence are completed before signature • Support finance, people team, facilities, risk management (including insurance), privacy/information security/compliance, and legal initiatives (including litigation and M&A) as requested • Assist with corporate housekeeping (entity maintenance, registered agent updates, qualifications to do business, board and stockholder consents, secretary’s certificates) and M&A diligence as needed • Partner with the General Counsel on bigger-picture matters, policy development, and special projects as assigned • Drive continuous improvement of contracting processes, including managing KPIs, contracting automation, self-serve clause libraries, click-throughs, and AI-assisted review where appropriate
• Implement and administer Ora document management systems (Veeva Vault) and related procedures that allow Ora staff to capture, store, retrieve, share, and destroy electronic records and documents in a manner consistent and in accordance with SOPs, ICH GCP guidelines, FDA, and EU Directive (and other global regulatory agencies as needed). • Manage documentation to ensure organization and accuracy. • Ensures clinical records are filed in a timely manner. • Perform quality-control (QC) review of clinical and regulatory documents submitted for entry into the eTMF and liaise with project teams towards documentation issue resolution. • Assist with the development of work processes and systems to support document management, including contributing to SOPs and internal department guidance. Supports initiatives to enhance efficiencies in document management practices. Propose recommendations for improving content management system capabilities. • Train towards and actively serve as a Veeva Vault Super-user who: Provides support and training to team members on processes and eTMF/CTMS software.
