Contracts Specialist

TrueCommerce

• Negotiate and draft customer-facing SaaS agreements, order forms, amendments, NDAs, DPAs, reseller and referral agreements, and related commercial documents • Serve as the primary point of contact for Sales and Revenue Operations on contract questions, negotiation strategy, and turnaround • Own and continuously improve TrueCommerce’s sales contract templates, fallback positions, and negotiation playbook in coordination with the General Counsel • Coordinate cross-functional reviews (Security, Finance, Tax, Privacy) and route deals through the appropriate approval workflows in TrueCommerce’s CLM and signature tools • Ensure contract provisions are clear and conform to TrueCommerce policies, the negotiation playbook, contract law, and applicable regulations • Independently identify, assess, and resolve commercial risk within delegated authority; escalate matters outside the established framework to the General Counsel • Track and report cycle time, escalation volume, and template adoption; deliver enablement and training to Sales and Sales Operations on contracting best practices • Own intake-to-signature for vendor and procurement contracts (MSAs, SOWs, DPA, security exhibits, order forms, click-throughs) and serve as the primary contracts contact for IT, Security, Finance, and business owners • Negotiate vendor terms (limitation of liability, indemnity, data protection, security, insurance, termination) against TrueCommerce’s procurement playbook; escalate non-standard risks to the General Counsel • Ensure vendor data flows, sub-processor approvals, and required security and privacy diligence are completed before signature • Support finance, people team, facilities, risk management (including insurance), privacy/information security/compliance, and legal initiatives (including litigation and M&A) as requested • Assist with corporate housekeeping (entity maintenance, registered agent updates, qualifications to do business, board and stockholder consents, secretary’s certificates) and M&A diligence as needed • Partner with the General Counsel on bigger-picture matters, policy development, and special projects as assigned • Drive continuous improvement of contracting processes, including managing KPIs, contracting automation, self-serve clause libraries, click-throughs, and AI-assisted review where appropriate

Job Requirements

  • 3–5 years of contract review and management experience, preferably at a fast-paced, high-growth technology company
  • Experience in SaaS and cloud-based deployment business models preferred
  • Hands-on experience reviewing, negotiating, and drafting/tracking contracts, both through negotiated contracts with sophisticated customers and automated contract processes
  • Familiarity with U.S. and EU data protection requirements (GDPR, CCPA/CPRA, state privacy laws) and standard DPA and sub-processor frameworks
  • Working familiarity with SaaS commercial terms: SLAs, data ownership and use, security, sub-processors, AI/ML training and output, audit rights, source code escrow, and most-favored-customer concepts
  • Working familiarity with supplemental contract documents such as DPAs, codes of conduct, and BAAs
  • Strong drafting skills with attention to detail and the ability to translate business intent into clear contract language
  • Sound business judgment and a pragmatic, commercial mindset; comfortable balancing legal risk against commercial considerations and saying “no” diplomatically when warranted
  • Ability to triage, prioritize, and manage a high-volume queue across competing deadlines and stakeholders
  • Strong written and verbal communication skills, with experience communicating with executive-level management and sales teams
  • Demonstrated ability to identify problems, exercise sound business judgment, and drive matters to resolution with minimal supervision
  • Experience developing and maintaining strong, professional working relationships with the sales organization and other internal stakeholders
  • Experience and flexibility working across cultures and time zones a plus
  • Ownership mindset and ability to operate independently within a defined escalation framework
  • Proficiency in Microsoft Word (including styles, tracked changes, and comparison) and familiarity with contract management tools and e-signature platforms
  • Occasional travel (≤10%) for team offsites, key negotiations, and onsite meetings as needed
