We are scaling our Corporate Development function and need a Senior Manager who can run — not just support — complex transactions. This is a principal role with real ownership: you will lead deals from origination through close, and serve as a thought partner to the CEO & CFO on strategic priorities. If you have been a principal at a fund and want to trade execution repetition for genuine strategic impact and equity upside, this is that seat. ROLE COMMITMENTS - Lead full M&A transaction processes end-to-end — from thesis development and target identification through LOI, diligence, negotiation, and close — with limited senior oversight - Own buy-side and sell-side process management: run working groups, manage advisors, drive timelines, and hold counterparties accountable - Develop and pressure-test investment theses; present recommendations directly to the CEO, CFO, and Board with conviction - Manage deal flow across multiple simultaneous opportunities — prioritizing bandwidth, escalating risks, and keeping processes on track ESSENTIAL DUTIES AND RESPONSIBILITIES Origination & Pipeline - Build and own a proprietary deal pipeline — intermediary relationships, direct outreach, sector coverage, and conference presence - Develop screening frameworks and opportunity scoring methodologies that systematize how we evaluate inbound and proactive targets - Author concise, high-conviction opportunity memos and IC materials that move leadership to a decision Financial Modeling & Valuation - Build and own fully integrated 3-statement models, LBO analyses, DCF/DDM, accretion/dilution, and scenario analyses — at the quality level expected of a senior banking VP - Structure complex deal economics including earnouts, rollover equity, seller financing, and working capital mechanics - Own the financial narrative: translate model outputs into board-ready conclusions, not just numbers in a deck Diligence & Execution - Design and run cross-functional diligence workstreams — finance, legal, tax, HR, technology, commercial — with the depth a senior principal brings - Synthesize diligence findings into risk-adjusted investment recommendations; identify deal-killers early and surface them clearly - Lead negotiation of LOIs, purchase agreements, and ancillary deal documents in coordination with legal counsel - Manage external advisors (bankers, lawyers, accountants, consultants) — set expectations, control costs, hold quality Post-Merger Integration - Own Day-1 readiness, 100-day integration plans, and longer-term value creation roadmaps for closed transactions - Track and report on synergy realization; surface integration risks proactively and drive resolution across functions - Serve as the Corp Dev point of contact for acquired companies through the integration period Strategic Initiatives & Team - Lead build-vs-buy-vs-partner analyses for new market entry, adjacency expansion, and capability gaps - Produce sector maps, competitive landscapes, and strategic briefings that inform the long-range plan - Set the analytical and output standard for the Corp Dev team; your work defines what good looks like The Honest Culture Fit - You have high standards and hold others to them — including yourself first - You give direct opinions backed by data and update them when the facts change; you do not anchor to a prior view out of ego - You want principal accountability, not just process participation — you want credit and ownership when it goes well - You are competitive about quality of work and speed of execution, not just about being seen in the building - You are genuinely curious about the businesses you are evaluating — not just the deal structure EDUCATION & EXPERIENCE Education and Basic Qualifications - 6–10 years of experience in investment banking (VP level), private equity (principal or senior associate), or top-tier management consulting with heavy M&A execution - You have led deals, not just supported them — you know the difference between being in the room and running the room - Track record of closed transactions: you can speak to your role, your contribution, and what you would do differently - Excel modeling at VP-level speed and quality: 3-statement, LBO, DCF, accretion/dilution built from scratch without a template - Exceptional written and verbal communication — your IC memos and board slides don't require rewrites - Bachelor's degree from a strong academic institution; MBA strongly preferred at this level Preferred Qualifications - Sector expertise in [relevant verticals] — you know the competitive landscape, the valuation benchmarks, and the names - Experience managing junior professionals: you have reviewed models, coached analysts, and raised the standard of a team - Relationship capital with intermediaries, bankers, or PE sponsors in relevant sectors - Experience with integration — you have been involved in PMI beyond the close dinner - Comfort owning a process independently: you do not need hand-holding to set a timeline and hold people to it DISCLAIMER Compensation may vary based on the job level, your geographic work location, position incentive plan, and exemption status.
