• Lead legal support for the full BESS project lifecycle, from origination, site control, real estate, and permitting, through interconnection, commercial contracting, financing, and handoff to construction, operations, and asset management • Partner with internal stakeholders to structure, draft, and negotiate key project agreements • Support responses to utility and corporate RFPs, and negotiate revenue and commercial agreements • Advise on procurement, trade, and supply chain matters • Support legal due diligence, transaction management, and closing deliverables • Monitor market, regulatory, and industry developments affecting BESS project development
Job Requirements
- 10 years of relevant legal experience in a law firm, sophisticated in-house legal department, or government agency
- Substantial experience supporting energy project development and commercial transactions
- J.D. from an accredited U.S. law school and active license in good standing (preferably in CA, NY, or TX)
- Demonstrated experience drafting and negotiating offtake, power purchase, capacity, tolling, and other project revenue agreements
- Strong working knowledge of permitting, environmental review, land use, siting, interconnection, real estate, procurement, trade, supply chain, and ISO/RTO market issues

Role Description The Senior Counsel is responsible for providing global legal support across the organization, including quickly and effectively identifying complex legal issues raised by SCIEX business partners, researching new legal issues, and providing advice in a manner that integrates legal risk management with SCIEX’s objectives. This position reports to the Vice President, General Counsel, and is part of the SCIEX Legal & Compliance Team. The role is designated as fully remote; however, there is a strong preference for the incumbent to be within commuting distance of the Marlborough, MA SCIEX office. In this role, you will have the opportunity to: - Draft, negotiate, and advise on commercial agreements and complex commercial legal matters, including antitrust, bankruptcy, clinical diagnostics, and related issues. - Manage litigation, government investigations, and regulatory matters, partnering with external counsel and supporting global product, quality, and regulatory teams on life sciences/diagnostics compliance (e.g., labeling, promotional review, post‑market risks). - Provide practical guidance on global regulatory and compliance topics (e.g., anti‑corruption/anti‑bribery, trade and sanctions, competition/antitrust, third‑party due diligence) in partnership with Compliance. - Support corporate governance, intellectual property, and Legal function leadership, including IP‑related contract terms, confidentiality, open‑source software use, board materials, delegated authorities, Legal policies, and representation in senior leadership meetings. - Develop training, playbooks, and process improvements, including use of AI to enhance legal workflows, and supervise the SCIEX Paralegal. Qualifications - 7+ years as a licensed U.S. attorney with experience in a nationally recognized law firm and in-house (life sciences preferred); global experience a plus. - Excellent academic credentials and active U.S. Bar membership in good standing. - Demonstrated leadership and strategic thinking, including mentoring/developing others and thoughtful team building. - Substantial deal and negotiation experience, with a leadership track record on executed transactions (e.g., partnerships, collaborations, licensing, M&A, research agreements). - Positive, collaborative “can do” team player who thrives in a fast-paced environment, manages multiple projects, and builds cross-functional relationships; energetic, self-motivated, flexible, and adaptable in a complex global organization.
