Role Description The Manager, Assistant Corporate Counsel – Corporate Governance & Securities provides legal support for public company reporting, corporate governance processes, and securities law compliance. This role supports the Director, Senior Corporate Counsel – Corporate Governance & Securities in preparing SEC filings, maintaining governance documentation, assisting with subsidiary management, and providing legal research and analysis on securities and corporate governance matters. The attorney will work cross‑functionally with Finance, Internal Audit, HR, and senior business partners to ensure accurate disclosures and strong governance practices. Public Company & Securities Law Support - Assist in preparing, reviewing, and coordinating SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy materials. - Conduct legal research and maintain awareness of developments in securities laws, NYSE rules, and SEC regulations. - Support drafting and reviewing earnings‑related materials, investor communications, and internal disclosure controls documentation. - Support insider‑trading compliance processes, including administration of blackout lists, tracking trading windows, and assisting with Section 16 reporting. Corporate Governance & Board Support - Support preparation of Board and Committee materials, resolutions, corporate policies, and governance documents. - Assist with the annual shareholder meeting and related planning activities. - Maintain governance records, charters, and policy updates and support governance‑related shareholder engagement initiatives. - Provide research and analysis on corporate governance matters, including ESG‑related governance requirements. Corporate Secretary & Subsidiary Management Support - Assist with management of domestic and global subsidiary records, including entity formation, maintenance, annual filings, and dissolution. - Maintain corporate records, organizational charts, and databases. - Support preparation of consents, minutes, and corporate governance documentation for subsidiaries. Cross-Functional Legal Support - Provide legal research, analysis, and recommendations on corporate and securities law matters. - Contribute to disclosure controls processes and internal corporate governance initiatives. - Assist attorneys with special projects, including regulatory reviews and internal process improvements. Qualifications - JD and admission in good standing to at least one U.S. state bar. - 3-5 years of relevant experience, including at a top law firm, public company legal department, or a combination. - Preferred: - Paralegal or corporate legal support. - Experience supporting a Corporate Secretary’s office. - Familiarity with ESG reporting and governance practices. - Experience with executive compensation, proxy statements, and Section 16 reporting tools (e.g., EDGAR, Section 16 software). • Working from our office in White House, TN, or from your home office within the state, the College & Career Counselor will report to the Manager of Counseling Services and provide a comprehensive College & Career Readiness Program to the students of TNCA. • The College and Career Readiness Counselor will work to support the mission and operations needed to ensure students successfully complete their instructional and career pathway programs and make exceptional post-secondary plans. • They will assist students and parents in understanding and meeting graduation requirements, course selection and scheduling, career pathway planning and completion, and crisis intervention. • They will support the framework of educational and career continuum programs of the school, with special emphasis on the management of the CCR-related programs. • The College and Career Readiness Counselor is the school’s expert on the state's course requirements, academic planning, and career pathways required to earn a diploma and certifications in the state, as well as other metric-driven state programs. • They will work with the team of school counselors to establish a comprehensive counseling program to support all students. • Collaboration with the special education team is required to ensure students with an IEP are served equitably. • Support the school’s leadership team in implementing and monitoring the school improvement plan and goals; • Develop, plan, and execute a comprehensive counseling program that meets the academic development, personal growth, and career planning needs for all students; • Coordinate and support school staff in the implementation of the College & Career Readiness program for students; • Monitor execution of special programs related to career awareness, exploration, and preparation; • Keep abreast of all high school graduation requirements as they relate to career pathways; • Assist in the development and coordination of CCR & CTE programs, such as Dual Enrollment, Internships, Mentorships, EPSO development, and industry-sanctioned clubs; • Facilitate communication between high school teachers, counselors, administrators, Learning Coaches, and students; • Counsel students with issues related to dropping courses and changing schedules within CCR pathways; • Ensure that the counseling staff can assist teachers when students enroll mid-semester, making sure that teachers receive guidance on integrating the students into their coursework, and ensuring that previous grades, credits, and evaluations are handled appropriately; • Supervise the receipt and review of student transcripts and oversee the entry of credits into the online transcript system; • Report and refer critical incidents that jeopardize student well-being as obligated by law, administrative regulations, or ethical standards; • Keep current on community resources vital to meeting the needs of students in distress, making them available to school teams and to families as needed; • Work with school staff to identify students who are at risk or in crisis; • Counsel families through the school withdrawal process, assisting with data collection regarding withdrawal; • Support the successful execution of state testing, which includes required travel; and • Other duties as assigned.

• Answer high volume of inbound calls from and/or generate high volume of outbound calls to delinquent borrowers. • Resolve delinquent accounts by demanding and collecting the full amount due, establish a solid plan with the borrower to bring the loan current, or proceed with hardship assistance as appropriate. • Counsel borrowers on options for meeting their payment obligations, explain terms, and arrange repayment plans based on department procedures. • Discuss financial status, review monthly income and expenses, and determine reason for non-payment. • Offer Loss Mitigation assistance, and if appropriate, explain options and processes in detail. • Demonstrate accurate knowledge and strict application of federal regulations and collection laws (FDCPA). • Follow all company and department policies and procedures. • Utilize proper protocols, for borrowers, clients, state, and federal regulations, as well as best practices. • Maintain and document mortgage collection systems and databases with all activities and communications. • Process mortgage loan payments in accordance with established guidelines. • Consistently meet or exceed monthly goals. • Reconcile accounts with misapplied payments. • Successfully complete annual regulatory compliance training. • Performs other related duties as assigned.
