• Lead and support the preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements. • Assist in drafting disclosure language and coordinating cross-functional input for periodic and current reports. • Partner with the Chief Legal Officer in supporting Board of Directors and committee processes, including preparation of materials, resolutions, minutes, and governance documentation. • Help maintain corporate governance policies and ensure alignment with NYSE listing standards and evolving regulatory requirements. • Administer and enhance insider trading compliance programs, including blackout processes and related training. • Support equity plan governance and coordination with Finance and HR on stock administration matters. • Partner with Finance and executive leadership to maintain and strengthen disclosure controls and procedures. • Monitor and interpret developments in securities law, public company governance, and regulatory requirements. • Oversee corporate entity management, including subsidiary governance, intercompany matters, and maintenance of corporate records. • Contribute to scalable governance processes and documentation frameworks to support growth and international expansion. • Deliver targeted training to internal stakeholders on governance, securities compliance, and public company responsibilities. • Support cross-functional corporate, regulatory, and strategic initiatives as needed.

Job Requirements

  • JD from an accredited law school with strong academic credentials.
  • 6+ years of relevant legal experience, including significant exposure to corporate governance and securities matters; top-tier law firm training strongly preferred.
  • Experience supporting public company reporting and board processes preferred.
  • Comfort operating in a lean environment with high ownership and limited bureaucracy.
  • Demonstrated ability to manage multiple reporting deadlines and competing priorities with precision.
  • Strong executive communication skills and ability to distill complex regulatory requirements into practical guidance.

Notre mission consiste à accompagner nos clients pour résoudre rapidement les incidents et à proposer des solutions pragmatiques, axées sur les enjeux métiers, face aux cyber risques. Dans le cadre de notre croissance, nous recherchons un.e professionnel.le de la gestion des sinistres pour intégrer notre équipe dédiée.
