General Counsel
Marathon Talent
• Lead legal due diligence processes for all investment opportunities. • Identify regulatory, structural, and transactional risks in Venezuela. • Assess legal feasibility of potential investments. • Design and implement legal structures for investments and transactions. • Draft, review, and negotiate contracts and transaction documents. • Support negotiations and closings alongside the investment team. • Support fund formation and investment vehicle structuring. • Ensure compliance with local Venezuelan regulations and international frameworks. • Coordinate with external counsel (local and international). • Advise portfolio companies on governance, compliance, and legal risks. • Support implementation of corporate governance structures. • Mitigate legal risks throughout the investment lifecycle
Job Requirements
- Experience: Minimum 10 years in corporate law, M&A, private equity, or similar.
- Venezuela Expertise (Mandatory): Deep knowledge of Venezuelan legal and regulatory frameworks.
- Transaction Experience: Proven experience supporting or leading deals end-to-end.
- Background: Experience in top-tier law firms and/or in-house roles within funds or corporations.
- International Exposure: Experience working on cross-border transactions preferred.
- Education: Strong academic background (US exposure is a strong plus).
- Language: Fluent English and Spanish (full bilingual proficiency required).
