About the Role: Republic is seeking a Legal & Investment Associate to support our deal pipeline in Europe, helping startups navigate the fundraising process on the Republic Europe platform from pre-launch to closing. This role combines venture investment execution and corporate legal expertise, working closely with founders to structure and complete investment transactions. We're looking for lawyers based in the Philippines to work with our team. Job Responsibilities: - Own and manage Republic Europe’s UK deal pipeline, supporting startups through the fundraising process from pre-launch to closing on the Republic platform. - Review and negotiate equity investment documentation (e.g., shareholder agreements, subscription agreements, articles of association, and convertible instruments) to ensure alignment with Republic Europe’s investment terms and regulatory framework. - Work closely with founders and internal teams, supporting deal execution and fundraising activities, while building an understanding of Republic Europe’s products including equity crowdfunding, Web3 tokenisation, and regulated private market offerings. Requirements: - Qualified lawyer with ~2+ years of post-qualification experience (PQE) in corporate, venture capital, or transactional law, comfortable supporting cross-border transactions and coordinating with external counsel when needed. - Strong understanding of the early-stage investment ecosystem, including venture financing structures and startup fundraising dynamics. - Highly organized and analytical self-starter with strong communication skills, able to explain legal concepts clearly to founders and stakeholders while contributing to efficient deal execution and operational improvements.
