Wealth Enhancement Group
• Serve as Legal department lead for equity compensation and equity management matters • Oversee day-to-day legal compliance for WEG’s equity compensation programs, including profits interests, incentive units, and cash-equivalent incentive arrangements • Advise on the design, implementation, and administration of equity compensation programs to ensure alignment with business objectives and legal requirements • Partner with Finance, HR, Payroll, and Equity Administration teams to ensure accurate and compliant equity grants, vesting, settlements, redemptions, and forfeitures • Prepare and review required securities filings, including Form D and related documentation • Manage and coordinate outside securities counsel, including defining scope of engagement and monitoring legal spend • Draft, review, and maintain equity-related documents, including equity plan documents, award agreements, subscription agreements, participant communications, and related templates and internal guidance materials
Job Requirements
- Juris Doctor (JD) degree from an accredited law school
- Active bar membership in at least one U.S. state
- 4–8 years of legal experience with a strong background in equity compensation programs, corporate law and securities law; experience in either a law firm or in-house legal department would be considered
- Working knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules and exemptions
- Experience drafting and advising on equity plan documents, award agreements, and private offering documentation
- Strong understanding of equity compensation structures in private company environments
- Demonstrated ability to manage complex, cross-functional initiatives and balance legal risk with practical business solutions
- Detail-oriented with strong analytical and problem-solving abilities
- Ability to work in a fast-paced environment and manage multiple projects with tight deadlines

Growing together. The Associate General Counsel will join UnitedHealth Group's Corporate Legal organization within the Data Governance function, supporting the Data Transactions team. This team serves as subject matter experts on data use, data licensing, AI use, and related privacy considerations, with a primary focus on supporting Optum Life Sciences. In this role, the attorney will lead complex contract drafting and negotiation efforts for data licensing and research services engagements, working closely with internal stakeholders and external customers in the life sciences industry. Role Description We’re looking for a Head of Legal to build BioRender’s legal function as a strategic partner to our leadership, product, and go-to-market teams. This role will oversee all aspects of legal while playing a critical role in shaping our approach to AI, intellectual property, and product innovation. As an individual contributor, you’ll operate at the intersection of law, technology, and business—bringing clear, pragmatic guidance to complex and evolving challenges. - Serve as a trusted strategic partner to leadership, Product, and GTM teams on legal, regulatory, and business decisions—particularly related to AI, IP, and copyright. - Develop BioRender's point of view on copyright and IP issues related to AI image generation and use in scientific publishing. - Own and oversee all aspects of the legal function, building scalable processes and frameworks. - Develop and implement an AI-forward approach to legal operations, leveraging technology to improve efficiency, insight, and impact. - Oversee a wide range of commercial agreements, including AI SaaS contracts and other technology-related agreements.
