Energy Vault
• Draft, negotiate, and analyze a broad range of commercial contracts, including EPC and EEQ Agreements, LTSAs, Offtake Agreements, Software Agreements, procurement and supplier MSAs, lease agreements, PPAs, consultant agreements, and other origination-related contracts. • Support project development and acquisition activities by preparing and negotiating interconnection agreements, land and lease agreements, MIPAs, Joint Development Agreements, and Development Services Agreements. • Support project finance activities by drafting and negotiating financing, tax, and ITC agreements. • Structure, draft, review, and negotiate a variety of other/related commercial agreements. • Help to develop form files for repeat transaction types. • Advise business teams regarding issues that arise during construction, including change orders, waivers and force majeure notices, and after construction, including warranty claims, as necessary. • Provide timely and efficient commercial legal guidance on a broad range of business topics, including general corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment. • Support M&A activities through due diligence and negotiation. • Manage and partner with a portfolio of external subject-matter expert legal advisors. • Partner closely with cross-functional teams to ensure alignment on commercial strategy, risk mitigation, and deal execution. • Help shape a culture of collaboration, innovation, constant improvement, excellence, transparency, open mindedness, humility, integrity, efficiency, joy, compassion, and fulfillment.
Job Requirements
- JD from an accredited law school.
- Member of a state bar in good standing.
- 6+ years’ total work experience after law school.
- 3+ years' experience with EPC contract drafting and negotiations.
- 2+ years’ experience in power generation, renewables, and/or energy storage.
- Past experiences that demonstrate the ability to handle multiple legal matters successfully and efficiently in various legal areas.
- Demonstrated ability to understand and analyze complex legal matters, to concisely summarize significant legal concerns, and to communicate those concerns effectively to businesspeople.
- Direct experience with assessing the level of legal and business risk in developing and communicating alternatives.
