• Analyzes conflict of interest reports for all new firm representations and lateral attorney hires to identify potential conflict problems. • Resolves conflict of interest issues (to include obtaining necessary waivers and drafting ethics wall memos) related to the firm’s clearance of new clients, new matters and lateral attorneys. • Analyzes information provided with new matter requests for compliance with firm policies and applicable rules of professional responsibility, and reviews and edits draft engagement letters for compliance with same. • Performs other duties as assigned.

Role Description Reporting to the Deputy General Counsel, the Associate, Counsel, will work across verticals within CleanCapital, including capital markets and finance, origination, project contracts, asset management, acquisitions, and general corporate contracts. Experience in distributed generation solar and/or storage project finance and development is a plus. Core Responsibilities - Manage deal closings for the debt and tax equity financings of solar and storage projects. - Track third party closing deliverables, including consultant reports, contract amendments, and title documents. - Coordinate with external counsel to maximize efficiency and manage legal expenses. - Draft ancillary documents required in connection with debt and tax equity financings, acquisitions, and asset management, including corporate governance and other deliverables. - Support corporate legal matters, including entity formation, governance, compliance, and contract management. - Work with internal teams across the company (development, construction, finance, acquisitions, and asset management) to review and draft contracts and advise on contract interpretation. - Job description may evolve over time. Qualifications - Law degree from an accredited law school. - Must be licensed in good standing and admitted to practice in relevant state bar. Requirements - Must have at least 2 years’ experience at a top tier law firm as a practicing attorney in the corporate or project finance (or similar) transaction group. • Collaborate closely with our case management team to work up settlement-eligible clients, evaluating decision points such as reviewing notes, medical records, and related documentation to determine case progression. • Manage client interactions during the offer process for settlement offers generated by the case management team, ensuring clear communication and support throughout. • Coordinate with Case Managers, legal assistants, and other team members to execute casework efficiently and effectively. • Serve as the on-call attorney as part of the elevation rotation once every 1-2 weeks. • Interact with clients, outside counsel, experts, and vendors as necessary to support case resolution. • Contribute to refining the firm’s settlement processes to ensure efficiency and consistency. Work closely with Partners and Associates on specific tasks related to assigned cases.
