• Provide pragmatic, solutions-oriented counsel on complex commercial transactions. • Draft and negotiate key agreements. • Help drive sound risk management across the organization. • Integrate and partner with the business unit leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes. • Draft and negotiate commercial agreements and ancillary agreements. • Support, build positive relationships with, and provide authoritative legal guidance to the legal commercial team as well as other internal business teams. • Work collaboratively to identify and implement process improvements and support updates to internal playbooks and templates. • Manage and meet internal SLAs, and help juggle priorities in a fast-moving environment. • Own specific legal projects and develop subject matter expertise regarding legal issues faced by the customer contracts team and internal business partners. • Review solicitations, strategize approaches for responding, drafting sections addressing particularly legal topics. • Select and manage outside counsel when needed. • Assist commercial contracts personnel with complex or risk-sensitive terms and conditions.

• Legal externs are vital contributors to the work of the Office of the General Counsel. • The extern will gain practical experience working on issues related to copyright, fair use, and audio licensing. • Evaluating copyright issues in audio content and occasional video content. • Researching copyright issues. • Making fair use determinations. • Drafting and/or organizing permissions agreements and assessing legal aspects of proposed licensing agreements. • Assisting with Rights Management issues.

• Externs work from May 15th, 2026, to September 15, 2026 (dates may be flexible depending on school requirements). • Legal externs are given substantive opportunities to gain experience and learn as members of the Office of the General Counsel ("OGC"). • The OGC offers challenging and diverse work assignments for legal externs, including contract review and drafting, research, training, and other projects reflective of the role of in-house attorneys at NPR. • Contribute across all practice areas conducting legal research and preparing legal memoranda, contracts, and other legal documents. • Participate in client meetings, trainings, legislative and regulatory meetings, and other outside-the-library projects, such as observing legal proceedings and attending legal training sessions.

• Be the primary legal partner for the Company’s Payment Integrity, and Special Investigations Unit. • Collaborate with the Counterpart Assistant product team on feature development. • Provide the company’s Medicare Advantage and Counterpart Health businesses with practical day-to-day legal advice regarding Centers for Medicare and Medicaid Services (“CMS”) regulations, the Anti-Kick Back Statute (“AKS”), and the False Claims Act (“FCA”). • Proactively identify areas of litigation and regulatory risk, and develop strategies to mitigate such risk.
