Smartsheet is seeking a talented Corporate Counsel II to join its collaborative legal team. We are looking for a highly capable and motivated individual with strong interpersonal skills to assist us in supporting our commercial contracting functions along with additional duties to support other parts of the business as needed. This position reports to the Director of Legal and is remote eligible (US only excluding Hawaii). Candidates in the Pacific or Mountain time zones are preferred. You Will: - Negotiate, draft, and review commercial agreements (both customer/sales and vendor/buy-side) including agreements concerning online subscription software, data privacy and processing, intellectual property use, and professional services. - Provide strategic and practical legal advice to teams globally across the company, including sales and procurement. - Collaborate with all members of the Legal team across office locations, including attorney and non-attorney personnel. - Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents. - Deliver training and guidance to employees on legal issues, best practices, and company policies. - Support general business operations by responding to requests for assistance from across the company as needed. - Complete special projects as requested. You Have: - 5+ years of relevant legal experience, preferably in-house at a cloud software company. - 2+ years of experience drafting and negotiating technology contracts such as software licenses, software-as-a-service (SaaS) agreements, software development agreements, and professional services agreements. - JD from an accredited law school and an active member of a US state bar. - AI first mentality, with the ability to revise and leverage AI output into final work product. - Experience advising business teams on a variety of issues relevant to commercial contracts including working directly with sales representatives on issues relevant to customer contracts. - Ability to analyze problems and recommend practical solutions that balance legal and business risks. - Skilled at developing strong working relationships with other business units despite competing priorities and interests. - Aptitude and disposition to uphold company’s business standards and risk tolerance. - Excellent interpersonal skills, business judgment, and strategic thinking. - Flexible with a service-oriented mentality. - Persistent attention to detail. - Able to operate in a fast-paced environment that places a high premium on excellence, execution, and teamwork. This attorney must be sensitive to and have experience working with unaccompanied minors and victims of trauma. In addition to appearing on behalf of detained unaccompanied children in court, this attorney will work closely with legal assistants who will provide Know Your Rights presentations and preliminary legal screenings to children in the detention shelters. This role will work approximately 20 hours per week. Duties and Responsibilities: Direct Legal Services: - Assist with representation to children (both detained and released children) as needed in immigration matters such as asylum, SIJS, U Visas, T Visas, and voluntary departure, including those in removal proceedings. Team support: - Review legal screenings conducted by legal assistants to determine children's preliminary eligibility for immigration relief. - Communicate regularly with the legal team regarding the status of children in detention, advocate for best interests of the child regarding placements upon release. - Participate in staff development and training opportunities provided by JFCS, maintain attorney license, and stay abreast of changes in policies and procedures. Communication with Stakeholders: - Clear, professional, and appropriate communication with clients, staff, and U.S. government officials. - Negotiations with government attorneys on prosecutorial discretion Administrative: - Be responsible for tracking outcomes of cases and providing timely reports for funders. - Ensure entry of timely, accurate, and detailed reporting. This includes case data into JFCS’s case management systems, timesheets and referrals to other providers. - Attend all immigration department meetings and other meetings as required. - Perform other job-related duties as required.
