Role Description We are seeking a proactive and detail-oriented Legal Counsel with 2–4 years of post-qualification experience to join our in-house legal team. The ideal candidate will have a business-oriented mindset with a practical approach to legal risk, excellent skills in drafting and negotiating contracts, and a strong foundation of general legal knowledge. As Legal Counsel, your goal will be to provide trustworthy legal support across a range of business functions, ensuring compliance with applicable laws and regulations, mitigating legal risks, and supporting strategic initiatives. You will report to the Vice President – Head of Legal and work closely with other members of the legal team as well as cross-functionally with other internal stakeholders, including sales, vendors, infosec, and human resources. Applicants may choose to work remotely or be office-based in Raleigh, NC, or Austin, TX. What You’ll Do: - Draft, review, edit, redline, and negotiate terms and conditions for customer services agreements, software licenses, consulting agreements, NDAs, vendor agreements, business partnership agreements (i.e., reseller and referral agreements), and other contracts to ensure compliance with company policies and risk tolerance. - Effectively identify and synthesize key contractual terms, concepts, and risks to the Vice President – Head of Legal as well as internal customers and colleagues in an actionable format. - Create, maintain, and continuously improve on contract templates and playbooks based upon best practices and industry standards. - Provide support and advice as requested on general legal matters including Software Licensing, Human Resources, Corporate Governance, and Litigation. - Support compliance efforts, including data privacy and industry-specific regulations. - Collaborate with and maintain excellent working relationships with internal stakeholders in sales, finance, and other departments, as well as outside legal counsel and other third parties as necessary. - Support the Legal Operations team to improve existing systems, processes, and procedures to better streamline and optimize the same. - Participate in other legal projects as requested, including internal presentations and trainings, conducting research and briefing teams on applicable legal developments, staying abreast of data privacy and security changes, assisting with responses to RFPs, and answering ad hoc legal questions. Qualifications - JD from an accredited US law school and admission to at least one state bar. - 2+ years of legal experience either in a law firm or in-house. - Excellent drafting, negotiation, and communication skills. - Experience with contract redlining and negotiation. - Experience with software licensing and/or SaaS contracting preferred. - Comprehensive general legal knowledge with the ability to communicate appropriately with non-lawyers. - Strong written and oral communication skills. - Adaptability, flexibility, and creativity in problem-solving. - A business-oriented mindset with a practical approach to legal risk. - Superior organizational skills and the ability to work efficiently in a fast-paced environment. - Ability to spot red flags and minimize company risks while maintaining an entrepreneurial spirit to find a path forward. - Independence and the ability to operate as a self-starter and leader with minimal supervision. - Ability to earn trust (with both internal and external stakeholders) and interpersonal skills to facilitate successful interactions with management, team members, and third parties. - Sound and balanced business judgment and keen strategic thinking and problem-solving skills. - To be team-oriented and enjoy working closely with colleagues to achieve results. - Exceptional time management skills and the ability to manage multiple, competing priorities. - Strong computer skills.
