Job Summary The Senior Director, Assistant General Counsel is a pivotal member of the legal department, providing strategic legal advice to the organization and executing the company’s legal strategy. This position provides strategic legal support in their designated practice area overseeing and conducting in-depth legal research, case management, budget monitoring, and strategically managing outside counsel relationships. Additionally, this role will play a key part in mitigating legal risks and supporting the organization’s business objectives. Any unpleasant conditions would be infrequent and not objectionable. - Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles. - Typically requires overnight travel less than 10% of the time. Education and Experience - Typically requires BS/BA in a related discipline. Generally 10+ years post JD experience in a law firm or in-house experience, including several years in a management/supervisory capacity. - JD from an accredited law school required and licensed to practice in at least one U.S. State required. Preferred Qualifications - Extensive expertise in corporate governance and board operations, including advising the Board of Directors and senior officers on fiduciary duties, governance structures, committee charters, bylaws, delegations of authority, officer appointments, and compliance with applicable corporate, securities, and regulatory requirements. - Experience supporting corporate secretary functions for complex corporate structures, including entity governance, officer and director appointments, delegated authorities, and compliance with corporate and securities law requirements. - Ability to work both independently with little oversight and collaboratively in a team-oriented environment. - Excellent written communication and interpersonal skills, with the ability to effectively engage and influence stakeholders at all levels. - Analytical mindset with the ability to access complex situations and develop appropriate strategies. - Experience working in a team-oriented environment managing legal staff. - Strong negotiation, drafting and analytical skills.
