What You Will Do: Responsible for the day-to-day design, administration, and optimization of the firm’s cloud and hybrid infrastructure, with a primary focus on Microsoft Azure. Responds to platform alerts and incidents to troubleshoot and correct issues and maintain availability of essential systems. Partners with security, endpoint, network, and application teams to deploy and maintain production services in alignment with operational standards, governance, and compliance requirements. Essential Job Requirements: - Design and architect end-to-end Azure infrastructure solutions aligned with business, security and technical requirements. - Lead cloud deployment initiatives, and work with the Director of Information Security to secure applications on Azure and other cloud platforms. - Assist in the development and enforcement of cloud architecture standards, governance frameworks, and best practices. - Collaborate with infrastructure, endpoint, security, and software engineering teams to ensure scalable and secure infrastructure design and compliance of cloud infrastructure systems. - Optimize cloud environments for cost, performance, scalability, and reliability. - Work with infrastructure engineers to implement and secure cloud networking solutions including VNets, VPNs, ExpressRoute, and hybrid connectivity. - Implement and maintain monitoring and observability across the Azure estate using Azure Monitor, Log Analytics, diagnostic settings, workbooks, and action groups; tune alerting for platform health, performance, capacity, and cost. - Work with the Director of Security to define and deploy Azure Policy and other initiatives to enforce governance, security baselines, resource tagging, and regulatory compliance; author custom policies and remediation tasks where built-in definitions fall short. - Administer Entra ID at scale: Conditional Access, Privileged Identity Management (PIM), named locations, passwordless / FIDO2 / YubiKey, administrative units, and Graph API automation. - Automate routine tasks and workflows using PowerShell, including modules, error handling, REST API consumption, and Microsoft Graph SDK. - Deliver infrastructure as code using Bicep, Terraform, or equivalent tooling. - Support and enhance Microsoft 365 services including Exchange Online, Teams, SharePoint, and Intune. - Implement and maintain hybrid environments integrating on-premises systems with Azure AD. - Troubleshoot complex infrastructure issues and provide root cause analysis. - Collaborate with security team to enforce compliance, patching, and vulnerability management. - Support backup, disaster recovery, and business continuity strategies. - Evaluate emerging technologies and recommend improvements to cloud architecture strategy. - Participate in infrastructure projects, upgrades, and migrations. - Respond to system and security alerts as required to maintain up-time and system performance. - Participate in on-call rotation once a month. Skills, Knowledge, and Abilities: - Minimum 5 years experience designing cloud architecture and contributing to cloud strategy and standards. - Experience designing and supporting Azure infrastructure (IaaS, PaaS, networking, and identity). - Experience using Azure Monitor, Log Analytics, and related tools to monitor and troubleshoot platform health. - Experience implementing governance and compliance controls using Azure Policy and related standards. - Familiarity with best practices for securing cloud infrastructure and applications. - Experience administering Entra ID, including Conditional Access, Privileged Identity Management (PIM), and passwordless authentication (FIDO2 / YubiKey). - Experience delivering infrastructure as code using Bicep, Terraform, or equivalent tools. - Proficiency with PowerShell scripting and automation, including Microsoft Graph SDK. - Strong Windows Server administration skills and experience supporting hybrid environments. - Experience administering Active Directory and Group Policy in an enterprise environment. - Experience supporting Microsoft 365 services such as Exchange Online, Teams, SharePoint, and Intune. - Strong knowledge of security best practices and ability to apply standards in a production environment. - Experience optimizing cloud environments for cost, performance, and reliability. - Experience supporting backup, disaster recovery, and business continuity practices. - BS degree or equivalent experience and IT certifications. What You Will Do: The Corporate Paralegal will provide advanced support on a broad range of complex corporate and transactional matters, including mergers and acquisitions (M&A), private equity, venture capital, securities, securities finance, debt/finance, real estate, tax-related corporate filings, bankruptcy-related lien review, and general corporate governance. Essential Job Requirements: Corporate Governance & Entity Management: - Prepare and file entity formations, amendments, reinstatements, dissolutions, and related filings across multiple jurisdictions. - Manage corporate compliance, including annual reports, tax-related corporate filings, and related statutory filings. - Conduct charter searches, obtain long-form and short-form good standing certificates, and order certified organizational documents. - Maintain and oversee corporate records, including minute books, consents, resolutions, officer/director information, and equity records. - Ensure accuracy of company data across corporate records, filing platforms, and transaction documents. - Manage and maintain capitalization tables and equity tracking platforms. Transactional & Closing Support: - Manage closing processes for complex transactions, including M&A, private equity, venture capital, debt financings, and general corporate transactions. - Conduct and coordinate due diligence, including review and organization of corporate records, contracts, financing documents, and other transaction materials. - Prepare and maintain detailed closing checklists and coordinate deliverables across multiple parties. - Draft, review, and organize closing deliverables, including officers’ certificates, secretary’s certificates, incumbency certificates, resolutions, and good standing certificates. - Review organizational documents, including charters, bylaws, operating agreements, and partnership agreements, to confirm authority and support transaction requirements. - Coordinate and manage execution of transaction documents, including signature pages, escrow arrangements, and closing logistics. - Compile, organize, and distribute closing binders and post-closing documentation. UCC & Finance / Article 9 Proficiency: - Prepare and file UCC-1 financing statements, amendments, assignments, and continuations. - Conduct UCC, tax lien, judgment, litigation, and related searches across multiple jurisdictions. - Analyze search results to identify existing liens, potential priority issues, and prior encumbrances. - Maintain UCC filing records and track continuation deadlines. - Demonstrate strong working knowledge of Article 9 of the Uniform Commercial Code, including perfection requirements for various collateral types. - Support and coordinate complex credit facilities, including syndicated and bilateral loan transactions. Securities & Compliance: - Prepare and maintain securities documentation, including stock option grants, restricted stock, warrants, and related equity records. - Support private placements and venture capital financings, including investor questionnaires, subscription materials, and related documentation. - Coordinate Blue Sky filings and securities-related submissions under attorney supervision. - Coordinate with third-party vendors, filing agents, and internal teams to track filing requirements and deadlines. Real Estate Support: - Coordinate title and survey searches and review results in connection with transactions. - Arrange for recording of real estate documents. - Prepare and review closing statements, payoff letters, and related documentation. - Organize and manage real estate closings, including checklists, document execution, and closing logistics. - Prepare and review customary real estate documents, including deeds, affidavits, notes, mortgages, and related conveyance or loan documents. Lien Review & Bankruptcy Support: - Conduct lien and security interest analyses in connection with bankruptcy and restructuring matters. - Review loan documents, security agreements, and intercreditor agreements to assess lien validity, perfection, and priority. - Support creditor-side representations in Chapter 11 proceedings. - Support attorneys with document review and factual analysis related to preference, fraudulent transfer, and other lien challenge issues. - Review proofs of claim and assist with claim reconciliation and objections, as needed. The individual in this role handles routine client billing and less complex client matter portfolios. The individual develops strong collaborative relationships with attorneys throughout the full cycle of client billing. Sends final bills to the client using BillBlast and posts bills in financial system. - Collaborates with the eBilling coordinator regarding new client and matter eBilling set-ups. Collaborates with Billing Compliance team to update appropriate fields of client information, according to client billing guidelines. Takes accountability for successful submission and troubleshooting issues. - Communicates directly with partners, their assistants and clients as requested, including following-up on ebilling revision and contacting clients as needed. Concisely communicates arrangements with Billing Partners and clients regarding their matters; provides clients with requested information on any special billing.
