Role Description We currently have an opportunity for a Senior Corporate Counsel to join our Legal team based in our Plymouth, MN office on a hybrid schedule. This position is responsible for providing broad-based corporate legal support to Intact Insurance Specialty Solutions and managing routine and complex legal, transactional, and insurance regulatory matters. Some of the Senior Corporate Counsel responsibilities include but are not limited to: - Providing broad-based legal and compliance support to Intact’s U.S. corporate functions and business units. - Supporting mergers and acquisitions and related activities, including due diligence, drafting transaction documents, effecting closings, and cross-functional coordination. - Deepening and expanding Intact’s distribution partnerships by negotiating and advising on broker, agency, program, and MGA agreements. - Providing legal advice on strategic, cross-functional, and cross-border projects, including those involving investment structures, insurance licensing, and service agreements. - Assisting in developing, implementing and continually improving processes and procedures to enhance scalability, operational efficiency, and business alignment across the organization. - Deploying strong and mature legal judgment, interpersonal skills, and influence to build effective working relationships with legal and business colleagues at all levels. - Demonstrating strong analytical, decision making, problem solving, and organizational skills, and the ability to work independently and collaboratively within a team. Qualifications - JD from an accredited law school and an excellent academic background. Attorney license must be in good standing. - Minnesota bar admission required, and has 8-10 years of experience in corporate law, preferably with a large law firm or equivalent in-house experience. - Extensive knowledge of the legal system and the legal and regulatory issues arising out of the insurance or financial services industries. - Demonstrated ability to represent the organization to members of the legal community, government agencies, and insurance industry associations. Requirements - Our salary ranges are determined by many factors including location, role, experience and skillset of the candidate. - The typical base salary range for this position is: $163,000 - $216,000 based on the factors aforementioned. - For candidates located in San Francisco, CA; Washington DC; our Massachusetts based offices and the New York City metro area, the base salary range is $190,000 - $222,000. Job Requirements
- JD from an accredited law school and an excellent academic background. Attorney license must be in good standing.

• Advise product and engineering teams on legal issues across the product development lifecycle, flagging risks early and recommending practical paths forward. • Provide legal support for AI-related product development, including data retention practices, model vendor terms and acceptable use policies, opt-in flows, and customer-facing AI documentation. • Partner with procurement legal on vendor and product-related agreements, including reviews of AI model vendor contracts, partnership terms, and procurement escalations. • Support commercial legal with product and intellectual property (IP) guidance during customer negotiations, and help maintain field enablement materials as features evolve. • Counsel on open source licensing, including assessing license obligations for new dependencies and advising on upstream license changes that affect how GitLab builds and distributes software. • Draft, maintain, and improve legal templates, internal policies, and playbooks that enable teams to make consistent decisions with clear guidance. • Review product marketing materials for accuracy, and advise on advertising, trademark, and brand questions to ensure product claims are defensible and aligned with how features work. • Monitor changes in law and emerging legal risks, especially AI regulation, and propose process improvements that strengthen how GitLab ships and markets products responsibly.
