Associate Counsel
Fortitude Mining
• Support corporate governance matters, including drafting board materials, maintaining corporate records, and ensuring compliance with internal policies. • Assist with securities law matters, including periodic reporting, disclosure review, and compliance with NYSE/Nasdaq listing standards. • Support M&A transactions, joint ventures, financings, and other strategic corporate initiatives. • Review, draft, and negotiate a variety of commercial agreements. • Monitor regulatory developments affecting digital assets, mining, securities, and corporate operations. • Provide practical, timely legal advice to business teams and leadership. • Collaborate with external counsel as needed. • Contribute to building and scaling internal legal processes and infrastructure.
Job Requirements
- J.D. from an accredited law school; admitted and in good standing with at least one U.S. state bar.
- 2–3 years of substantive experience in corporate law, securities, or mergers & acquisitions at an AM Law 100 firm or in-house at a NYSE or Nasdaq-listed company.
- Strong drafting, analytical, and organizational skills.
- Ability to prioritize and manage multiple projects with minimal oversight.
- Comfortable working autonomously in a remote-first environment.
- Demonstrated initiative, resourcefulness, and sound business judgment.
- Cryptocurrency, blockchain, or digital asset industry experience is a plus, but not required.
