Job Description

General Counsel

Waymark

• Serve as a trusted advisor to the CEO, executive leadership team, and Board of Directors on legal, regulatory, and enterprise risk matters, including equity, financing, and corporate governance. • Build, lead, and develop Waymark's legal team, establishing scalable processes and systems as the company grows. • Oversee corporate legal matters and commercial contracting of the highest complexity, including value-based care agreements, vendor and supply agreements, and strategic partnerships. • Design, implement, and oversee a comprehensive compliance program addressing HIPAA/privacy, fraud, waste, and abuse (FWA), the Stark Law, the Anti-Kickback Statute (AKS), and other state and federal healthcare regulations. • Own Waymark's privacy program, ensuring appropriate policies, controls, and cross-functional practices for handling sensitive patient and member data. • Oversee Waymark's information security function, partnering with technology teams on security policy, incident response, and vendor risk management. • Establish and manage enterprise risk management protocols tailored to a scaling healthcare technology company, proactively identifying and mitigating legal, regulatory, and operational risk. • Provide clear, practical, and creative legal guidance to stakeholders across the business, often under short timelines and amid ambiguity.

Job Requirements

  • Must be admitted to the bar and in good standing, or otherwise authorized to practice law (e.g., registered in-house status), in the state where the position is located.
  • 15+ years of legal experience, including significant in-house leadership experience, ideally within healthcare, health tech, or another regulated industry.
  • Demonstrated experience building and leading a legal function—including compliance and privacy programs—from the ground up.
  • Proven experience advising C-suite executives and/or a Board of Directors on strategic, legal, and risk matters.
  • Experience managing and developing legal and compliance team members.
  • Passionate about improving healthcare for underserved communities.

Benefits

  • Stock Options: Opportunity to invest in the company’s growth.
  • Work-from-Home Stipend: A dedicated stipend for your first year to help set up your home office.

  • Paid Time Off: 20 vacation days, accrued over the year, plus 11 paid holidays.
  • Parental Leave: 16 weeks of paid leave for birthing parents after six months of employment, and 8 weeks of bonding leave for non-birthing parents.

• Determine whether TRM can launch Orion in a new jurisdiction by owning the privacy analysis end-to-end — using AI to draft DPIAs and transfer assessments so decisions land in days, not weeks. • Embed privacy-by-design into Orion's development lifecycle, partnering with Engineering to resolve data-flow and retention questions before they become launch blockers. • Lead and respond to data subject rights requests (DSARs) in coordination with Engineering and Customer Success. • Build and maintain the privacy program's core artifacts — records of processing, DPIA templates, and breach-response playbooks — using AI-assisted workflows so the program scales without adding headcount. • Run first-pass review of data processing agreements with AI, then finalize positions, cutting turnaround time on customer and vendor DPAs. • Design lawful cross-border data transfer mechanisms (SCCs, transfer impact assessments) that let Orion serve international customers with confidence. • Stand up a self-service privacy-review intake, supported by AI triage, so routine questions are answered quickly and only genuinely novel risk reaches deep legal review. • Support the CLO and AGC with clear, business-ready guidance that helps leadership make faster, better-informed decisions on privacy risk.
