Lead Commercial Counsel

Asana

Role Description We’re looking for a Lead Commercial Counsel to join our Commercial Legal team and work closely with sales teams and cross-functional stakeholders with a primary focus on providing commercial legal support relating to Asana’s StackAI business. In this role, you will report directly to the Global Head of Commercial Legal. This role can either be fully remote depending on which US state you live in, or based in our San Francisco office with an office-centric hybrid schedule. If based in-office: The standard in-office days are Monday, Tuesday, and Thursday. Most Asanas have the option to work from home on Wednesdays. Working from home on Fridays depends on the type of work you do and the teams with which you partner. What you’ll achieve - Partner closely with sales teams and cross-functional stakeholders—including Finance, Deal Desk, Privacy, and Security—to support high velocity deal cycles. - Draft, negotiate, and advise on outbound commercial agreements and strategic partnership agreements with enterprise customers, including SaaS agreements and related agreements such as DPAs, BAAs, Product-Specific Terms, and AI terms. - Provide dedicated commercial legal support for Asana's recently acquired StackAI business, bringing creative problem-solving to complex deals and new business issues. - Act as a trusted legal advisor to sales teams, delivering timely and practical guidance, and driving transaction structures that align with Asana’s policies and business objectives. - Train sales teams on common commercial issues and best practices in support of closing transactions efficiently. - Lead commercial legal integration work for the newly acquired business and technology, successfully aligning existing customer contracts, new contract frameworks, risk profiles, and playbooks. - Apply innovative thinking to the development and scaling of commercial legal team best practices and resources—including internal knowledge-sharing materials, scalable frameworks, legal playbooks, and standards that drive deal velocity and quality. - Stay current on emerging global laws, regulatory shifts, and judicial decisions relevant to our business (including competition and data protection laws), conducting thorough research to proactively adapt internal legal guidelines. - Support and manage a variety of high-impact ad hoc legal projects as they arise. Qualifications - Demonstrates curiosity about AI tools and emerging technologies, with a willingness to learn and leverage them to enhance productivity, collaboration, or decision-making. - J.D. degree from an accredited institution and active membership in good standing with a U.S. state bar association. - 6+ years of experience practicing law, including significant in-house experience at a technology company supporting a sales organization on complex, high-velocity outbound revenue transactions with enterprise customers, including SaaS agreements and related agreements such as DPAs, BAAs, Product-Specific Terms, and AI terms. - Demonstrated experience or strong familiarity supporting post-acquisition commercial legal integration. - Proven background collaborating cross-functionally with Sales, Finance, Revenue Accounting, Deal Desk, Privacy, Security, and Legal Operations to move deals toward closing. - Excellent legal and business judgment, integrity, and emotional intelligence; able to quickly assess risks, provide practical guidance, and translate dense legal nuances into clear and actionable recommendations for non-legal business stakeholders. - Proactive, solutions-oriented, and able to work independently while thriving in ambiguity and maintaining focus on closing deals that protect Asana's values and business interests.
