Business & Legal Affairs Manager
Red Antler
• Draft, review, and negotiate a high volume of commercial agreements, including client MSAs, SOWs, NDAs, vendor agreements, referral and settlement agreements, amendments, DPAs, and BAAs • Partner with sales and business development teams to help close deals • Maintain and evolve contract templates, negotiation playbooks, and approval workflows to support a growing business • Prepare and manage employment documentation including offer letters, ICAs, vendor ICAs, and separation agreements • Own and maintain the Employee Handbook; advise on HR-related legal matters as they arise • Partner with HR/Finance on the international contractor process and hiring in Rippling • Oversee registration of State Employer Accounts • Maintain corporate records and coordinate with outside counsel on state tax and entity matters • Manage GDPR, CCPA, and other applicable privacy compliance programs • Advise on AI governance, AI terms of use, and implementation risk • Partner with finance on insurance programs and the corporate card policy • Manage the Privacy Policy and ensure ongoing compliance • Support due diligence and legal review for strategic transactions as needed
Job Requirements
- JD from an accredited law school and admitted to practice at least one US jurisdiction; previous in-house experience and NY bar admission a plus
- 2–5 years of relevant legal experience, ideally in-house at a creative, marketing, or advertising services firm or in combination with relevant exposure at a law firm
- Background at a creative agency or professional services firm strongly preferred
- Comfortable managing a high volume and variety of commercial contracts day-to-day
- Experience building legal infrastructure: templates, processes, workflows
- Familiarity with employment agreements and corporate recordkeeping, with immigration processes familiarity a plus
- Commercially oriented, thinks like part of the sales team, not just risk and compliance; skilled at steering negotiations toward a close, not just identifying risk
- Working knowledge of GDPR, CCPA, and data privacy compliance
- Proficient with AI tools (Claude, Perplexity, or similar) and comfortable building self-service workflows for the broader team
- Highly responsive, organized, and able to operate as a team of one
- Exposure to AI governance and emerging technology terms a plus.
