Role Description Duetto's legal function is a strategic asset — and this role owns all of it. As VP, Legal, you'll serve as a key partner to the CFO, Board, and PE sponsor, building the legal infrastructure that supports the company's growth and exit readiness. This isn't a compliance seat. It's a builder role for someone who treats legal as a high-leverage operating system: scalable, increasingly automated, and held to diligence-ready standards from day one. What You'll Be Doing - Own the legal AI stack — select, implement, and champion AI-powered tooling for contract review, CLM, policy drafting, and regulatory monitoring, and set the standard for how a modern, lean legal function operates. - Partner with Product and Engineering on our ML pricing models, developing and maintaining the legal and ethical framework governing data usage, algorithmic decision-making, and pricing transparency, and becoming an expert on hospitality-related compliance trends to influence our product roadmap. - Drive high-velocity global growth by architecting scalable commercial contracting processes and playbooks that empower Sales to close deals efficiently while simplifying processes, reducing exceptions, and maintaining necessary protections. - Build exit-readiness into everything we do — operate with a PE mindset, hold our work to diligence-ready standards, and serve as a core member of the corporate functions leadership group, ensuring Legal is deeply integrated with Corp Dev, FP&A, Accounting, and IT to drive cross-functional initiatives, including M&A. - Establish and refine corporate governance frameworks by serving as Secretary to the Board of Directors, acting as a proactive steward of corporate hygiene, preparing Board-facing materials, and advising on external governance and compliance trends. - Oversee the legal budget and external legal relationships at the company and PE-ownership level, allocating resources across internal/external, specialist/generalist, and high/low cost with a bias toward insourcing through technology. - Manage employment law across a global workforce, partnering with People Operations on complex employment matters, equity agreements, compensation plan structures, and international workforce compliance across all jurisdictions in which the company operates. - Evolve the enterprise risk management function by collaborating with Finance on insurance, tax exposure, and operational risk, with a focus on what materially affects exit valuation. - Perform other related duties as needed to support team and company priorities. Qualifications - J.D. from an ABA-accredited law school; active bar membership in good standing. - 15+ years of related professional legal experience, with substantial experience in high-growth technology companies. - Strong executive presence with proficiency in distilling complex legal concepts into actionable takeaways for non-legal business leaders. - Deep SaaS commercial expertise: subscription agreements, data processing addenda, API and partner agreements, and enterprise deal structuring. - Fluency in AI/ML product legal issues: data licensing, algorithmic accountability, privacy (GDPR, CCPA, and emerging US frameworks), and automated decision-making regulations. - Corporate governance experience, including Board Secretary or equivalent. - Genuine curiosity about legal technology and AI, with a first-hand point of view about how these tools are changing in-house legal work. Requirements - M&A experience in a PE context. - Employment law competency across multiple jurisdictions. - Experience with international corporate structures and the related impact on growth velocity and financials (e.g., regulatory/compliance overhead, tax exposure, and workforce management). - Background supporting a company through a full PE-to-exit cycle.
