Role Description The Patent Agent/Junior IP Counsel is responsible for partnering with our Research Scientists and Engineers and working with the Intellectual Property (IP) Legal team to build and manage the SCIEX patent portfolio. The Patent Agent/Junior IP Counsel will also advise on freedom to operate and landscape analyses and support new development projects. This position reports to the Chief IP Counsel and is part of the IP team. The role is designated as fully remote; however, there is a strong preference for the incumbent to be within commuting distance of the Marlborough, MA SCIEX headquarters. In this role, you will have the opportunity to: - Serve as a trusted colleague to Research & Development (R&D) teams on all IP issues with a particular focus on invention mining, patentability, patent prosecution and freedom to operate locally and globally, by giving solid and practical strategic IP advice. - Align IP strategies with business and strategic plans. - Build IP awareness, culture, and standard work at SCIEX. - Lead outside counsel in the preparation and prosecution of patent applications. - Provide educational presentations and other training on IP matters to SCIEX employees. Qualifications - Bachelor’s degree in Engineering, Chemistry, and/or Physics. - Registered patent agent before the Canadian Intellectual Property Office and/or U.S. Patent and Trademark Office. - Minimum of 5 years of experience as a Patent Agent/Junior Counsel in a law firm and/or in-house role. • Conduct legal research related to intellectual property, technology law, data privacy, and regulatory compliance, and prepare clear summaries of findings. • Assist attorneys with technology and intellectual property matters, including contracts, IP documentation, policies, and internal legal processes. • Draft, review, and edit legal and business documents such as memoranda, templates, policies, correspondence, and presentations. • Support project and matter management, including organizing files, tracking deadlines, and maintaining documentation. • Collaborate with legal team members and cross-functional business partners to support ongoing initiatives. • Participate in meetings and communicate professionally with attorneys and stakeholders. • Maintain strict confidentiality and exercise discretion when handling sensitive legal and business information. • Demonstrate attention to detail by ensuring accuracy, completeness, and quality in all work products. • Take initiative on assignments, manage competing priorities, and adapt to shifting deadlines and business needs.

Role Description This position forms part of the corporate in-house team supporting global legal entity management, securities and corporate governance, capital markets and various corporate transactions. Candidates must exercise initiative, have an exceptional level of attention to detail, excellent English communication skills and the ability to work cross-functionally with colleagues around the globe. - Coordinate legal work related to legal entity management, including legal entity integration and reorganization activities, creation of new legal entities, merger and consolidation of legal entities, and legal entity maintenance. - Support the Assistant General Counsel, Securities with corporate governance work as needed including reviewing and drafting corporate governance documents such as meeting agendas, minutes, resolutions, and presentations. - Support the Assistant General Counsel, Securities with capital markets transactions and other corporate transactions. - Partner with IQVIA’s treasury department and financial accounting team to track legal entity changes that impact financing facilities and/or debt covenants. - Assist with the preparation of IQVIA’s proxy statement in connection with the annual meeting of stockholders and coordination for the annual meeting of stockholders. - Participate in the development of departmental procedures to improve processes around entity management, corporate governance, and securities. - Coordinate matters handled by outside counsel. - Perform other duties as required. Qualifications - Bachelor Degree in Law - Active Bar Association (OAB). - Qualified to practice law in a global organization. - For law firm candidates, a minimum of four years of experience as an attorney with a law firm is required or, for candidates with a combination of prior law firm experience and in-house legal experience, a minimum of six years of overall experience is required. - Experience managing large and complex legal entity structure required. - Experience with U.S. securities laws and corporate governance is preferred but not required. - Strong organizational, planning, project management, communication, presentation and influence skills. - Demonstrated ability to establish and maintain effective working relationships cross-functionally and across global geographies with coworkers, managers and clients. - Exceptional attention to detail and ability to work simultaneously on multiple priorities. - Fluent English with the ability to discuss, draft and review documents in English. - Excellent skills using MS Office Suite: MS Excel, MS Word, MS PowerPoint. - Resumé/CV must be submitted in English.
