Title: Assistant General Counsel Location: Remote, California Job Description: We are seeking a detail-oriented and proactive attorney with a background in finance, lending, or litigation related to the same to join our legal team. This role will have a specific emphasis on structuring and drafting financing contracts with customers, contracts in support of Company initiatives, and the review and support of the Company’s financing activities, with an emphasis on setting up processes for negotiated loan documents for borrowers between $500,000 and $3,000,000, supporting the Company’s equipment finance subsidiary, and the negotiation of counterparty documents with a variety of counterparties. The position will also support workout and compliance as the Company moves to expand its product offerings. The ideal candidate will serve as a strategic partner to our business units, ensuring that all contract terms align with company risk tolerance, regulatory standards, and high-stakes operational goals. What you will do: - Draft, review, and negotiate a broad range of commercial contracts - Lead the legal structuring and negotiation of terms for major accounts, specifically focusing on credit facilities, loan agreements, and negotiated financing arrangements with customers. - Analyze complex contract terms and conditions to identify legal, financial, and operational risks, providing clear summaries and mitigation strategies to business units and executive leadership. - Ensure all lending-related documentation complies with federal and state financial regulations, including consumer and commercial lending laws. - Develop and maintain standardized contract templates and "playbooks" to streamline the negotiation process for high-volume and high-value accounts. - Advise internal stakeholders (Sales, Underwriting, HR, Major Accounts, Equipment Finance and Operations) on legal rights, obligations, and the interpretation of existing contract terms. - Manage the contract lifecycle from initial request through execution and renewal, ensuring all deadlines and compliance requirements are met. - Stay current on changes in relevant laws and regulations (e.g., data privacy, banking regulations, or industry-specific mandates) that may impact company agreements. - Assist with general advice, litigation, compliance initiatives, and other legal projects as assigned by the General Counsel. - Research and identify relevant local, state, and federal law applicable or potentially applicable to the company and provide advice regarding compliance on all areas of Company activity, including sales, marketing, product offerings, internal governance and other matters - Stay apprised of regulatory changes to proactively address potential compliance matters, including UDAP, UDAAP, FCRA, ECOA, FDCPA, TCPA and state analogues - Assist in implementation, review and mitigation of issues identified by Compliance Management and Complaint Management Systems - Assist with offensive and defensive litigation, as needed, including matters arising from company functions, financing agreements, bankruptcy proceedings initiated by individuals or small businesses, contract disputes, as well as other matters What We’re Looking For: - JD with excellent academic and professional credentials - Member in good standing of either the New York, Virginia, or California bar, or eligible for admission as a registered in-house counsel or upon waiver to New York or Virginia. - Independent, self-starter with the ability to work independently - Flexible, with the ability to adjust to circumstances in a growing company and assist with projects on an as needed basis - Ability to make decisions and provide advice in areas where the regulatory framework is evolving or unclear - Strong oral and written communication skills - Excellent presentation and training skills - 5 + years of experience with exposure and understanding of financial services, either through corporate, regulatory, insolvency or litigation - Judicial clerkship a plus - Exceptional drafting skills with the ability to translate complex legal and financial concepts into clear, actionable business terms. - Strong negotiation skills and the ability to maintain professional relationships with external counsel and major account representatives. - Proven ability to manage multiple projects simultaneously in a fast-paced environment. - Deep understanding of secured and unsecured lending, UCC filings, and debt recovery processes, including litigation. - Strong business acumen and the ability to provide "solution-oriented" legal advice rather than just identifying obstacles.
