General Counsel

• Support R&D operations, including reviewing/drafting complex B2B contracts (facilities lease, insurances, scientific & lab equipment purchase/rental, construction, maintenance contracts) • Support new R&D streams launch from incorporation to handover to respective operating teams • Provide legal support on US/UK labour, employment, contracting matters in cooperation with relevant teams • US/UK corporate governance (board/shareholder actions, cap table management, corporate records, etc.) • IP and R&D contracting, including assignment/inventions, deliverables/acceptance, IP rights, patent acquisitions • Develop policies related to R&D and corporate operations including data protection, disclosures, IP, HR, etc. • Draft, review, and negotiate transaction documents related to minority/majority investments, incubation, spin-outs, including SPAs, SHAs, articles, etc. • Support transactions from due diligence to closing, including IP matters
Job Requirements
- Main experience with US/UK legal frameworks
- Experience of new business’ launches support is a must
- 5+ years of professional experience in contract law across various types of contracts
- Experience in corporate law, M&A, or venture capital transactions is desirable
- Strong transactional drafting and negotiation skills
- Background in VC / startup / scale-up environment as a corporate counsel
- Experience working on cross-border transactions
- Experience in a deep tech & biotech environment would be an advantage
- Excellent command of English, Russian preferable
- Comfortable working remotely with international stakeholders in a fast-paced, innovation-driven setting

Commercial and Product Counsel
