• Provide a full spectrum of legal services across the hospital • Support the team in maintaining and monitoring legal obligations of the hospital’s administrative and clinical departments with a focus on corporate/commercial work and health law • Draft, negotiate and review contracts and commercial transactional and related documents • Work closely with directors and managers to support their contract requirements • Advise staff and management on legal matters including contract law, administrative law, corporate/commercial law, health law • Identify areas of potential legal and statutory risks, determine acceptable levels of risk and make recommendations • Develop policies and procedures to identify and address legal risks • Lead legislative compliance programs and provide training • Monitor legislative and regulatory developments and advise on implications for the hospital • Assist with legislative registrar maintenance

• Serve as primary attorney for new sales transactions, including drafting and negotiating software license agreements, consulting agreements, SaaS agreements, and other commercial contracts; • Lead Biz Ops calls and collaborate with IFS Softeon's business teams, providing accurate and timely legal advice with integrity and responsibility, especially to Sales, Services, Finance, Marketing, and Partner teams; • Serve as lead attorney for legal operations, including improving legal processes and procedures and the development of standard contract terms; • Serve as primary attorney for corporate governance matters and provide primary legal support for audit, tax/treasury, HR/employment relations disputes, and real estate matters (leases, construction, etc.); • Work collaboratively with the broader IFS Softeon legal team by sharing knowledge, helping out team members, and contributing to legal newsletters and training as assigned by the CFO of IFS Softeon and the Legal Team; • Support global legal projects as assigned by the CFO and the Legal Team and coordinate with outside counsel as necessary; • Keep up to date with changes in laws and regulation and maintain a deep industry knowledge; perform other tasks as assigned or delegated by the General Counsel.

• Draft, review, and negotiate a broad range of commercial agreements with a focus on US Federal and SLED, including SaaS agreements, software licenses, MSAs, hardware agreements, reseller and partner agreements, teaming agreements, subcontracts, OTAs, NDAs, professional services agreements, statements of work, and data processing agreements • Independently lead complex public sector technology transactions and support Armada’s federal, defense, state, local, and regulated industry sales efforts by providing strategic legal guidance throughout the procurement and contracting lifecycle • Review RFPs, RFIs, RFQs, solicitations, statements of work, and proposal materials to identify legal, compliance, operational, and business risks • Advise internal stakeholders on compliance with FAR, DFARS, agency-specific supplements, flow-down clauses, public procurement requirements, and government contracting best practices • Partner closely with Sales, Capture, Revenue, Product, Engineering, Security, Finance, and Compliance teams to structure and negotiate public sector transactions that align with Armada’s business objectives • Provide guidance on issues involving intellectual property rights, software licensing, data rights, cybersecurity obligations, export controls, privacy requirements, organizational conflicts of interest, and regulatory compliance • Support contracting activities involving public sector resellers, systems integrators, channel partners, and subcontractors • Help develop and improve scalable legal templates, contracting playbooks, policies, and operational processes to support Armada’s growing government business • Support post-award contract administration, including contract interpretation, modifications, compliance obligations, audits, disputes, and issue resolution • Monitor developments in government procurement laws, cybersecurity regulations, AI governance, and public sector technology policy and proactively advise the business on impacts and opportunities • Manage outside counsel efficiently and collaborate cross-functionally to resolve complex legal and operational issues • Contribute broadly across the Legal team on commercial, compliance, and operational matters as Armada scales • Drive continuous improvement in legal operations, contracting workflows, and cross-functional enablement to support business velocity and scalable growth

Role Description This position is based in Europe/UK at one of InterDigital’s international locations, but we may consider a remote location. The position will require domestic and international travel. The successful candidate will join a dynamic and respected legal department with over 100 members and will be involved in litigation related to InterDigital’s patent licensing programs and other legal proceedings involving the company and its subsidiaries. The successful candidate will be tasked with implementing InterDigital’s global intellectual property litigation strategy, including designing (in conjunction with in-house experts and outside counsel) that strategy. The successful candidate will have the opportunity and be expected to evaluate the internal and external litigation needs and resources of the company and to implement necessary changes and additions. While this is a global role, the successful candidate must have significant experience handling patent infringement cases in German Regional Courts and the UPC. This position will report directly to the VP, Head of Litigation and will have significant contact with other members of the company’s management team, including senior executives. Responsibilities - Worldwide Litigation Oversight and Strategy - Enforcement of Standard Essential Patents (SEPs), including providing advice regarding FRAND (Fair, Reasonable and Non-Discriminatory) litigation strategies, to drive the company’s licensing programs across various sectors, including cellular, video processing, video streaming, WiFi, and consumer electronics. - Defending the company against existing and new global intellectual property (IP), antitrust, commercial, or other litigation worldwide initiated by third parties. - Manage and direct external counsel providing support for litigation and other legal proceedings involving the company and its subsidiaries. - Working closely with the company’s Director of Legal Operations and Finance Department to help the VP, Head of Litigation manage significant budgets for internal and external spend involving the company and its subsidiaries. - Working closely with the company’s licensing professionals to support business and/or settlement negotiations with prospective licensees worldwide. Qualifications - 10-15 years of directly relevant IP litigation experience, including within a law firm. - Experience advising patent owners, preferably SEP holders, and with FRAND litigation, in the technology industry or other IP-intensive businesses. - Experience as lead or primary counsel in high-value patent enforcement litigation in German Regional Court proceedings, UPC proceedings, and/or UK High Court proceedings - ideally all three jurisdictions.
