Role Description The (Senior) Vice President, M&A is a senior member of the transaction team reporting to the Head of M&A. The position combines independent deal leadership, strategic analysis, and external relationship management, and contributes to RiverStone’s acquisition strategy and capital deployment priorities. Essential Functions - Transaction Leadership and Execution - Leads transactions end-to-end, including screening, structuring, diligence, pricing, negotiation, approvals, closing, and post-close transition. - Develops the investment thesis and recommendation materials, including valuation, key risks, and clear articulation of trade-offs. - Applies independent judgment on deal quality, pricing adequacy, and strategic fit, and provides clear recommendations to the Head of M&A and internal approval bodies. - Serves as the primary point of accountability for deal outcomes, timelines, and key decision points. - Coordinates and leads cross-functional teams including actuarial, claims, finance, legal, and reinsurance operations, and manages external advisors as needed. - Partners closely with other members of transaction team, ensuring commercial, financial, and risk diligence are integrated into a single deal view. - Leads preparation of materials for internal transaction approvals and ensures adherence to RiverStone’s transaction and risk policies. - Origination and Business Development - Develops a prioritized deal pipeline and market view in partnership with the Head of M&A. - Sources and evaluates acquisition, reinsurance, and other opportunities aligned with RiverStone’s strategic objectives. - Maintains active relationships with brokers, sellers, advisors, and counterparties to generate proprietary and early-stage opportunities. - Represents RiverStone externally in meetings with prospective counterparties and intermediaries. - Post-Close Integration and Performance Review - Oversees integration planning and execution in partnership with business and functional leaders. - Monitors acquired portfolios post-close with business partners to assess performance versus underwriting/pricing expectations and to inform future deal standards.
