The Senior Counsel provides legal advice, represents Step Up for Students in legal proceedings, and prepares/reviews legal documents. This role ensures compliance with laws and regulations while advocating for Step Up for Student’s interests in various legal matters. The Senior Counsel assists with governance support and day-to-day legal matters related to Step Up for Student's operations. In addition, the Senior Counsel works with internal stakeholders to ensure the legal strategy is aligned with the company's mission. Location: Remote (United States) Key Responsibilities: - Provide legal advice and support on various company matters such as business transactions, regulatory compliance, and corporate governance. - Draft, review, and negotiate legal documents such as contracts, pleadings and briefs. - Facilitating the contract management process and approvals including maintaining contract templates and standard forms. - Assist in maintaining compliance with Federal tax-exempt requirements under the Internal Revenue Service (e.g. 501(c)(3) compliance support) and state nonprofit requirements (per applicable state law). - Advise and support internal stakeholders in regards with the development and maintenance of internal policies and procedures. - Represent Step Up for Students in court, arbitration, and mediation proceedings. - Conduct legal research and analysis to support case strategies. - Coordinate with internal and external parties to gather evidence and supporting documentation. - Stay updated on changes in laws and regulations relevant to practice areas. - Assist in identifying and managing legal risks by tracking claims, disputes, and potential litigation matters. - Coordinating with external counsel as directed. Qualifications: - Juris Doctor (JD) from an accredited law school. - At least 5-10 years of legal experience. Prior in-house experience is desirable. - Active membership in good standing with the Florida Bar or eligible for authorized in-house counsel registration. - Experience in nonprofit governance, privacy, litigation, or public records desired. - Demonstrated success and a proven track record of professional/life experience in specific job functions, projects, industries or military service can substitute for professional experience and/or formal education requirements.
