Associate Counsel This role is intended as a high-utility, generalist position within a small in-house legal team. The Associate Counsel will have the opportunity to take ownership of a wide range of day-to-day legal work relatively quickly, including government procurement and contracting, product review, compliance matters, &c. The position offers broad exposure across the business and is well-suited for someone looking to develop practical, in-house legal skills within a growing company. The ideal candidate is proactive, adaptable, and interested in building experience across multiple areas of law. Responsibilities: - Draft, review, and negotiate a variety of commercial agreements, including License Agreements, Cloud-Hosting/SaaS agreements, professional services agreements, strategic partnership agreements, NDAs, &c. - Support government contracting processes, including RFP responses, contract review, and negotiation with public sector customers. - Assist with product-related legal issues, including accessibility, data privacy, and security considerations related to cloud-based software. - Provide practical, business-oriented legal guidance to internal stakeholders. - Help identify legal risks and propose solutions that align with business objectives. - Assist with corporate governance, compliance initiatives, and other general legal matters as needed. Requirements: - 1–4 years of legal experience, or an exceptional recent graduate with relevant experience. - Strong drafting and contract review skills. - Ability to manage multiple matters and work independently in a fast-paced environment. - Strong communication skills and sound judgment. - Interest in technology, software products, and/or government contracting. - Experience working within Agile teams or formal training in Scrum or Agile methodologies is a strong asset. Preferred Experience: - SaaS and software-related contracting, ideally in the context of government procurement. - Data privacy, cybersecurity, and cloud compliance. - Intellectual property or product counseling. ADDITIONAL FUNCTIONS and RESPONSIBILITIES - Performs other duties as assigned. - Supports the organization's quality program(s). SUPERVISORY RESPONSIBILITIES - Administers company personnel policies in all areas and follows company staffing standards and training recommendations. - Interviews, hires and establishes colleague performance development plans; conducts colleague performance discussions. - Provides support, guidance, leadership and motivation to promote maximum performance.
