Associate Counsel

Role Description This role offers the opportunity to provide critical legal support in a fast-paced, highly regulated healthcare and insurance environment. The Associate Counsel will focus on reviewing, negotiating, and managing a broad range of customer and vendor contracts, ensuring compliance with ERISA, HIPAA, and other regulatory requirements. You will work closely with cross-functional teams including executive leadership, Compliance, Sales, Vendor Management, and Operations, providing practical legal guidance to support business objectives while managing risk. The role combines transactional expertise, regulatory knowledge, and strategic partnership, enabling the legal team to influence key business decisions. This position allows for meaningful impact in a collaborative, remote-first environment with occasional travel. - Review, assess, and negotiate customer-facing agreements such as Administrative Services Agreements (ASAs), Business Associate Agreements (BAAs), amendments, and addenda. - Review and negotiate vendor and subcontractor contracts, including network, PBM, stop-loss, analytics, and cost-containment service agreements. - Identify legal, regulatory, and business risks in contract terms and provide actionable guidance. - Draft and revise provisions addressing ERISA fiduciary responsibilities, HIPAA compliance, indemnification, audit and correction rights, and dispute resolution. - Support complex negotiations and escalate material risks to leadership as needed. - Monitor regulatory changes impacting contracts and recommend updates to templates, playbooks, and processes. - Collaborate with internal stakeholders to align contractual obligations with operational practices, financial terms, and risk management strategies. Qualifications - Juris Doctor (JD) from an accredited law school and licensed in good standing with at least one U.S. state bar. - 3–6 years of experience in legal practice, focusing on contracts, healthcare, insurance, or regulated services. - Proven experience reviewing and negotiating complex commercial contracts. - Strong understanding of healthcare regulatory frameworks, including HIPAA, ERISA, and Worker’s Compensation. - Ability to translate legal risk into practical business guidance. - Excellent written and verbal communication skills. - Highly organized, with strong attention to detail and sound legal judgment. - Ability to manage multiple priorities and deadlines in a fast-paced environment. Requirements - Experience in TPAs, health plans, cost-containment, insurance, or healthcare services organizations (preferred). - Familiarity with administrative services models and self-funded health plans (preferred). - Experience with vendor agreements involving PHI and downstream compliance obligations (preferred). - Exposure to DOL audits, regulatory inquiries, or healthcare compliance programs (preferred).
