• Draft, review, and negotiate a wide range of commercial agreements, including provider contracts, partnership agreements, and vendor arrangements • Provide legal guidance on strategic business initiatives, including market expansion and new payor channel development • Conduct regulatory review and analysis to support commercial decision-making across multiple jurisdictions • Support compliance initiatives and help maintain the company's regulatory posture as operations scale • Help manage the day-to-day flow of legal work, triaging priorities, and ensuring the legal function operates efficiently and responsively • Collaborate cross-functionally with commercial, operations, and product teams to provide pragmatic, business-forward legal advice • Contribute to the development of legal playbooks, templates, and processes that enable the business to move quickly without compromising on quality • Stay current on relevant legal and regulatory developments in healthcare and technology, advising the business on their implications

Job Requirements

  • Substantive law firm experience in commercial contracting, particularly in technology transactions, SaaS, licensing, and intellectual property agreements, preferably in a highly regulated industry, such as healthcare
  • Proven ability to draft, negotiate, and close commercial agreements at pace, treating legal as a value-creation lever rather than a gate
  • Experience advising on market expansion, vendor and partner arrangements, or multi-jurisdictional deals
  • A track record of being pulled into commercial conversations early because stakeholders trust your judgment, not just your drafting
  • Comfortable using AI and technology tools to manage contracts and legal workflows, while knowing exactly where human judgment is non-negotiable
  • The ability to translate legal risk into plain business language that a non-lawyer can act on, without over-simplifying or hedging everything into uselessness
  • High emotional intelligence and a communication style that flexes naturally across founders, clinicians, ops teams, and external partners, building trust fast and making people want to loop you in, not feel obligated to
  • A bias toward "how do we get this done" over "here's why we can't," with the judgment to know where the real red lines are
  • Experience building repeatable legal processes (playbooks, templates, escalation frameworks) that let a lean team punch above its weight
  • Comfortable operating in ambiguity, managing volume without sacrificing quality, and expanding your role based on what you prove you can handle
  • Background in healthcare law, including familiarity with regulatory frameworks such as AKS, Stark, MSO structures, or data privacy and security is a huge plus

DUTIES: - Manage and litigate Bodily Injury and some Property Damage claims, including first-party property claims, subrogation, and bad faith litigation. - Represent the company in all phases of litigation, from pre-suit investigations to trial and post-trial activities. - Develop case strategies, draft pleadings, motions, discovery, and attend depositions, mediations, hearings, and trials. - Provide expert legal advice to the claims department, management, and other internal teams. - Ensure that all actions taken during the claims process comply with applicable laws and regulations. - Advise on legal risk related to policy interpretations, claims settlements, and potential exposure. - Negotiate settlements on behalf of the company in a timely and cost-effective manner. - Participate in mediations, arbitrations, and settlement conferences. - Conduct thorough legal research on property damage, insurance laws, and regulations in Texas, including recent court decisions and statutory developments. - Prepare clear, concise, and persuasive legal documents such as briefs, memoranda, and opinions. - Stay current with changes in insurance and bodily injury/property damage laws in Texas, ensuring the company is compliant with local, state, and federal laws. - Assist in developing policies and procedures to minimize legal exposure and maximize operational efficiency. - Collaborate with the claims department, adjusters, and other legal teams to provide proactive and responsive legal support. - Communicate complex legal concepts and strategies to non-legal personnel clearly and effectively.
