• Drafting and reviewing corporate documentation, including board minutes, shareholders’ resolutions, memoranda and articles of association, internal policies, and other corporate records; • Preparing and filing statutory corporate documentation with the relevant authorities, including the Malta Business Registry (MBR) and other competent regulatory bodies, while anticipating and managing all procedural requirements necessary for successful filings; • Maintaining and updating statutory registers, corporate records, group structure charts, and internal corporate governance and control schedules; • Providing legal support in corporate reorganisations, mergers, demergers, acquisitions, and internal restructurings; • Managing and overseeing corporate portfolios of domestic and international clients, ensuring ongoing compliance with statutory and regulatory requirements; • Drafting, reviewing and negotiating commercial agreements, including Software-as-a-Service (SaaS) agreements, software licensing agreements, vendor and service provider agreements, and related commercial documentation; • Supporting the definition and review of vendor scope of services, service level arrangements, and contractual risk allocation; • Assisting with KYB/KYC processes, including the review of corporate documentation, identification of beneficial ownership structures, and support for onboarding procedures in line with applicable compliance and regulatory requirements.

• Develop, launch, and operationalize hospitality products, processes, and services to add value and differentiation in our communities. • Assist with all aspects of the Legal Department, focusing initially on Landlord/Tenant Law. • Provide legal advice and service combining skill and knowledge in multifamily and hospitality, real estate law, and corporate law. • Provide guidance and advice on legal aspects of leasing and general real estate matters. • Engage with cross-functional departments to meet goals. • Pursue details and achieve closure on transactions and various matters and projects. • Provide excellent client service and ensure legal and regulatory compliance for rental operations. • Supervise and direct outside counsel and local governmental lobbying efforts. • Participate in developing and interpreting company operating policies and procedures. • Draft templates and manage a due diligence budget.

• Partnering cross-functionally to provide legal advice related to Marketing and Market Access, including brand strategy, promotional materials, and patient support initiatives • Partnering with Medical Affairs to advise on strategy, scientific exchange, and field medical materials • Fostering a culture of compliance in Karyopharm’s interactions with healthcare professionals, including development of policies and delivery of effective training initiatives • Providing legal advice as a member of cross-functional teams including product development program teams, promotional and medical review committees, and grant and investigator-sponsored trial review committees • Communicating legal advice to business stakeholders in an authentic and understandable way
