We are seeking an experienced and motivated Senior Corporate Paralegal to join our legal team. Operating at the intersection of technology and healthcare, our company faces a unique set of corporate and regulatory opportunities. In this role, you will support the Senior Merger and Acquisition Attorney with mergers, acquisitions, and corporate transactions, including post closing integration. You will also Manage our corporate entity and equity administration and support the Chief Legal Officer and Corporate Secretary with board and committee governance. Job Description Key Responsibilities Entity Management - Entity Management: Act as the “Source of Truth” for all corporate entities. Manage the lifecycle of subsidiaries, including formation, dissolution and name changes. Primary liaison and manager of the relationship with our third-party service provider/registered agents. - Corporate Records: Maintain corporate minute books, director and officer slates, foreign qualifications, and organizational charts for the company’s US operations. - State and Foreign Filings: Lead the preparation and filing of Annual Reports, Franchise Tax returns, and Foreign Qualifications across all US states. Merger and Acquisitions & Special Projects - Due Diligence: Assist in gathering and analyzing data involved in transactions. Organize and prepare schedules and certificates. Organize and maintain legal data rooms necessary for future transactions. - Corporate Data: Maintain corporate letters of intent and non-disclosure agreements. - Integration: Assist in the post-closing integration of acquired entities, ensuring new entities are properly brought into the company’s compliance framework. Board Support & Corporate Secretarial - Governance and Board Support: Support the Chief Legal Officer and Corporate Secretary in preparing for Board and Committee meetings. Develop a system, including the roll out of a Board portal, to maintain agendas, resolutions, and minutes for Board of Directors and Committee meetings. - Drafting: Prepare standard corporate resolutions, written consents, and meeting minutes under the guidance of the Chief Legal Officer and Deputy General Counsel. Required Experience & Qualifications (see above) - Education: Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program. - Experience: - 8+ years of paralegal experience, preferably in-house at a technology or healthcare company, or in the corporate practice of a top-tier law firm. - Experience with private company financings and equity management. - Technical Skills: - Proficiency with Board portal software/tools; - Advanced Microsoft Office/Google Workspace skills. - Industry Knowledge: Familiarity with digital healthcare is a plus though not strictly required if you are willing to learn.
