What You’ll Do: The Sr. paralegal supports our Law Department team in various capacities, including corporate governance, mergers and acquisitions, law department operations, litigation, and real estate management. Job Duties: Corporate Governance: - Maintain corporate books and records. - Prepare draft board minutes and resolutions. - Assist in the creation and maintenance of Delegations of Authority. - Maintain records of Tax ID and FinCen numbers for each entity. - Maintain officer and director slates. Mergers and Acquisitions: - Provide support during the M&A process, including due diligence. - Maintain completed M&A deal documentation. Law Department Operations: - - Manage incoming Service of Process, including tracking and forwarding to the appropriate personnel. - Assist with legal expense tracking and managing the Law Department’s budget. - Maintain and update the Corporate Entity Chart. - Contribute to the development and maintenance of the record retention policy. - Assist with quarterly audit processes. Litigation: - Support the litigation hold process. - Assist with general litigation matters as required. - Maintain the quarterly litigation and reserving report. Real Estate: - - Assist with maintaining executed leases. - Provide support for lease administration, including tracking key lease dates. We are seeking a highly experienced and strategic Senior Paralegal to serve as a key member of our Legal team. This role provides advanced support across commercial contracting, advertising and marketing compliance, intellectual property administration, data privacy and legal operations. The ideal candidate is a seasoned professional who thrives in a fast-paced environment, independently manages complex workflows, and partners cross-functionally to drive efficiency and scale. This individual will play a critical role in strengthening legal infrastructure, optimizing contract lifecycle processes, and ensuring compliance across marketing, data privacy and IP initiatives. Key Responsibilities Commercial Contracting & Lifecycle Management - Draft, review, and negotiate a broad range of commercial agreements, including NDAs, MSAs, SOWs, vendor agreements, marketing and sponsorship agreements, licensing agreements, and amendments. - Oversee full contract lifecycle from intake through execution, renewal, and termination. - Develop and maintain contract templates and negotiation playbooks. - Serve as a liaison for internal stakeholders regarding contract requirements, status, and timelines. - Drive improvements in contract intake, tracking, and documentation processes.
