Job Description

Director, Stock Administration

ServiceTitan

• Manage all aspects of ServiceTitan’s global equity programs, including (i) the grant, exercise, vesting, release, transfer, modification, and termination of all stock options, RSUs and PSUs via E*TRADE’s EquityEdge Online (EEO), and (ii) delivery of grant communications, tracking employee grant acceptance and taxpayer status certifications, and following up with Titans as needed. • Manage ESPP enrollment and purchases via EEO. • Create training materials for, and respond to questions and issues from, Titans around the world regarding our equity programs. • Develop and maintain (i) written policies and procedures to address common situations and questions as ServiceTitan continues to grow, (ii) an internal equity site that houses resources and FAQs related to ServiceTitan’s equity programs, and (iii) an AI-powered chatbot that can respond to common equity questions. • Partner with Payroll, Legal, and external advisors to set, periodically update, and execute tax withholdings for all equity transactions globally (including mobile Titans who may be subject to withholding in multiple jurisdictions). • Reconcile the Company’s equity award activity against the EEO platform on a monthly, quarterly, and annual basis. • Partner with the Legal, People, Finance, Accounting and Payroll teams, PwC (ServiceTitan’s external auditors) and Computershare (ServiceTitan’s transfer agent) to provide equity reporting, including with respect to equity-related disclosures in our S-8, 10-Q, 10-K and Proxy Statement filings with the SEC. • Collaborate with internal and external advisors to (i) establish new equity programs, and related policies and procedures, as ServiceTitan expands internationally, and (ii) track, monitor and comply with international equity reporting deadlines. • Lead efforts to streamline recurring equity work and enable more efficient, accurate and timely processing of equity plan data, including automating processes with AI functionality. • Partner with Legal to (i) track beneficial ownership and oversee proper filing of required Form 4 documents for Section 16 officers, (ii) maintain opening and closing of the insider trading windows and Section 16 officer trade restrictions in E*TRADE, (iii) track executive 10b5-1 plan transactions and provide Investor Relations and other teams with visibility into potential transactions, and (iv) help execute executive estate planning and similar transactions and transfers. • Manage preparation of year-end E*TRADE requirements and employee tax statements. • Support equity-related components of M&A activity, including conversion of target equity awards, tracking of M&A-related equity grants and performance milestones, and post-transaction integration. • Ensure SOX compliance for all covered aspects of the stock administration function, including user access reviews, grant approvals and releases, and equity reconciliations.

Job Requirements

  • 10+ years of progressive stock administration experience, with at least 5 years at a U.S. publicly traded company.
  • Demonstrated experience as the lead stock administrator strongly preferred.
  • Certified Equity Professional (CEP) certification required.
  • Bachelor's degree from an accredited university is strongly preferred (finance or accounting are a plus).
  • Strong understanding of U.S. federal and state equity taxation.
  • Experience with global equity administration and an understanding of international accounting, tax, and securities law requirements, particularly in Canada and India.
  • Experience working directly with Computershare, E*TRADE / EEO, and PwC strongly preferred.
  • Proficient in Google Suite and MS Office suite, with advanced Microsoft Excel skills.
  • Exceptional written and verbal communication skills, with the ability to translate complex equity concepts into clear guidance for Titans at all levels, from new hires to executives.
  • A positive can-do attitude, good judgment, and the ability to work independently while effectively managing competing priorities in a fast-paced environment.
  • Ability to maintain strict confidentiality.
